AUGUST 23-SEPTEMBER 26, 2019
TAYLOR HALL GALLERY

  1. Taylor Hall Gallery at Kent State University (“University”), will exercise the same care in
respect to loans as it does in the safekeeping of its own property.
  2. Transportation and packing: Transportation of the work to and from the Taylor Hall
Gallery will be at the lender’s sole responsibility and expense, unless otherwise agreed
to in writing and attached to the agreement. At all times, Lender remains responsible
for packing and securing work to and from the University.
  3. Damage: In the event of damage or loss it will be the Lender’s responsibility to establish
to the satisfaction of the insurance underwriter that the declared value is the fair
market value for the items that comprise the Exhibition. This can be done with
appraisals, with documentation that provides proof of sale of similar items, and in other
ways acceptable to the underwriter. In no event will University be liable to Lender for
damages in excess of the amount of any insurance recovery from the University’s
insurance policy, nor for any loss or damage due to causes excluded from coverage
under such policy. Furthermore, the Lender agrees that in the event of damage,
Lender releases University’s officers, employees and agents from any liability for any
and all claims arising out of such loss or damage. Damages to loan property, whether
in transit or on the premises of the University and regardless of responsibility shall be
        reported immediately to the Lender.
   4. University Insurance: The University will insure the items in the Exhibition while they are in
the University’s care, custody or control according to the terms and conditions of the
        University’s insurance policy.
   5. Lender’s Insurance: If the Lender continues with their own insurance for the period of
the loan, the University will not accept responsibility for any errors or deficiencies in
information furnished to the Lender’s insurers or for any lapses in coverage. Prior to the
shipment of the work, the University must be supplied with a certificate of insurance
naming the University as an additional insured. It is understood that any Lender insuring
his or her own loan automatically waives right of subrogation unless information to the
contrary is received in writing before the loan leaves the possession of the Lender.
   6. Exhibition: The University has sole discretion as to whether, for how long, and in what
manner objects loaned shall be exhibited, as well as determining what written and
descriptive material will accompany the show.
   7. Publicity: Lender agrees that items lent to the University may be photographed and
reproduced in publications and for publicity purposes connected with the exhibition
without any fee due to the Lender.
   8. Gifting: If the work/collection is intended to become a gift to the university, a separate
agreement will be executed by both parties.

SIGNATURE: By signing below, I have read the Loan Agreement, and agree and accept the
conditions and terms of this loan as stated above. The agreement cannot be altered
waived, or otherwise affected except by written consent of both parties. This document
represents the entire agreement of the parties, and in signing the undersigned warrants,
represents, and certifies that the Lender is the legal owner or authorized agent of the legal
owner of the property listed on this document.
