LETTER FROM THE CHAIR

Welcome to our annual review of Paul Hastings’
charitable giving, pro bono legal work, and
volunteerism activities, events, and programs. We
are extremely proud of our firm’s high ranking on
                            The American Lawyer’s 2011 A-List of the 20 most
successful law firms in America and our leading
national rankings for pro bono service.

Our results stem from the incredible commitment of
our lawyers and professionals who work tirelessly
to give back to those in need. In 2010-2011, more
than 96% of Paul Hastings lawyers in the United States devoted their legal
talents to pro bono cases, totaling over 100,000 hours of public service.

Globally, we engaged in a broad range of pro bono activities and contributed
nearly $60 million to charity in the form of in-kind services and monetary
contributions donated to a variety of nonprofit and community organizations.

We hope you enjoy reading about our long-standing commitment to pro bono
services and community giving.

Paul Hastings is grateful to our clients, lawyers, and staff who contribute to our
pro bono and community programs around the world.

Best regards,

Barbara Johnson

PAUL HASTINGS CARES FOUNDATION

The Paul Hastings Cares Foundation, which is funded by contributions from the firm, its partners
and employees, was established in 2002 to support victims of the 9/11 terrorist attacks, initially
contributing to the National September 11 Memorial & Museum and subsequently providing
hundreds of hours of pro bono services to 9/11 victims. Since its inception, the Foundation has
donated more than a million dollars for emergency relief and humanitarian aid, including supporting
victims of the Indian Ocean tsunami (2004), Hurricane Katrina (2005), the San Diego wildfires
(2007), the Great Sichuan Earthquake (2008), and the Haiti Earthquake (2010).

Recent responses to global disasters include:

PAKISTAN FLOODS

In July 2010, Pakistan was devastated by heavy monsoon rains and floods which claimed 1,781
lives, injured 2,966 residents, killed 200,000 livestock, and destroyed more than 1.89 million
homes. According to the United Nations, the number of people affected by the floods is “more than
the entire population hit by the Indian Ocean tsunami and Kashmir earthquake in 2005, the 2007
Cyclone Nargis, and (the) earthquake in Haiti—combined.”

In response to this natural disaster, the Paul Hastings Cares Foundation donated to Doctors
Without Borders and their programs to provide hospital support, mobile clinics, water distributions,
and relief kits to Pakistan flood victims. In addition, the firm hosted “Denim Day,” where
participating employees wore jeans to work and made personal donations to Doctors Without
Borders. As an added incentive, Paul Hastings matched dollar for dollar all employee contributions
to the Pakistan flood relief efforts.

TŌHOKU EARTHQUAKE AND TSUNAMI

On March 11, 2011, a 9.0 magnitude earthquake occurred near Tohoku, Japan, and resulted in
a tsunami that caused massive destruction, claiming more than 15,000 lives. In the aftermath of
the Tohoku events, several nuclear power plants in Japan experienced cooling system failures and
were shut down.

Paul Hastings and members of the Tokyo office were quick to respond to this natural disaster. To
help the survivors, the firm established the Paul Hastings Cares Foundation Japan Disaster

                                                                                                       4

Relief Fund and donated $100,000 to the American Red Cross – Japan Disaster Relief Fund.
The firm chose this organization because of its effectiveness in delivering immediate assistance to
      earthquake and tsunami victims.

The Paul Hastings Attorney Networks (PHANs)
are global employee resource groups that
                                                         promote inclusion and communication for
lawyers across diverse backgrounds. The PHAN
program encompasses 21 active attorney groups in Asia, Europe, and the United States, including
ten women’s networks, five diversity ally networks, three networks for lesbian/gay/bisexual/
transgendered lawyers and their allies, one network focused on Latin American practice, language
and culture, and one Asian culture and business development network.

The ASIA PHAN played a critical role in coordinating the firm’s response to the Pakistan floods and
Japan earthquake, and the firm extends condolences to the families and communities that have
lost so much due to the consequences of these tragic events.

“Giving back to the communities where we live
and practice and supporting those communities
in times of need are two reasons why Paul
Hastings is recognized as one of the world’s
                         leading law firms.”

GIVING BACK
CHILDREN

Paul Hastings remains constant in its commitment and support of the world’s youngest citizens,
children. A few years ago, the firm teamed up with Project Hope, a leading foundation in China
working to eliminate educational disparity, to build a new school in the Longqiu village of the
remote mountain province of Jiangxi.

The Paul Hastings Hope Elementary School educates more than 300 students, and firm
lawyers play active roles in the school’s development. Managing Partner Greg Nitzkowski
frequently visits Jiangxi, and partner and Shanghai Pro Bono Committee Chair Lesli Ligorner
helps to distribute school supplies to local students. Additionally, a team of 25 partners and
associates from across the firm visited the school before the first day to help paint new classrooms
and prepare for the new school year.

This past year, Paul Hastings devoted nearly 5,600 pro bono hours to Kids In Need of Defense
(KIND), an organization committed to providing competent and compassionate legal counsel to
unaccompanied children in immigration proceedings. Many of these children have been trafficked
to the United States, have been abandoned by their families, or are fleeing human rights abuses
such as child marriages and recruitment as child soldiers. In 2010, Paul Hastings lawyers handled
more than 20 KIND cases.

In addition, the firm advocates for the rights of children and young adults in legal proceedings.
This year, the firm represented a five-year-old quadriplegic with cerebral palsy from Brooklyn in her
hearing against the New York City Board of Education (BOE). “Natalie” suffers from life threatening

                                                                                                        6

seizures. The BOE had refused to provide a registered nurse for Natalie and determined, without
basis, that a paraprofessional would be sufficient. A registered nurse is qualified to administer
Natalie’s medicine, whereas a paraprofessional is not. The firm prevailed at the impartial hearing.
The lawyers who worked on the matter, under the direction of Partners Preston Ratliff and Eric
Dittmann, were Anthony Antonelli, Joshua Bennett, Joseph Cohen, and Anthony Michael.

In June 2011, the Washington Lawyer’s Committee on Civil Rights and Urban Development
recognized Paul Hastings’ commitment to children and presented the Washington, D.C., office
with an award for Outstanding Achievement in the area of Public Education, citing the firm’s
partnership with Garfield Elementary School. Lawyers and staff are actively involved with this
D.C. public school, working as school volunteers, mentoring students, purchasing bake sale
items, and assisting Garfield’s teachers and administrators. The Paul Hastings-Garfield Elementary
partnership could not have become so successful as quickly without the support of all of the
volunteers, the firm's management, and everyone who has supported this community effort.

For a list of the children’s organizations that the firm supports each year, please see the “Paul
      Hastings: Community Investment” section.

“Children are the future. The lawyers and staff
at Paul Hastings are extremely proud of their
participation in cases and causes that involve
helping children and young adults. At Paul
Hastings, our lawyers and staff bring the same
dedication and expertise to our work on behalf
of children as to our other clients.”
                                                                    – Seth Zachary, Chairman

HIGHER EDUCATION

Education is essential to success as a lawyer. Hence, since its inception, Paul Hastings has
supported a broad range of programs at some of the world’s leading institutions of higher
education. In addition to the Paul Hastings Endowed Chair in Corporate and Securities Law
at UCLA School of Law and the Paul, Hastings & Janofsky Scholarships at Harvard Law
School (see “Paul Hastings Annual and Endowed Programs”), the firm contributes significantly
to academic programs that advance legal education and to critical issues that stimulate dialogue
between academicians and legal practitioners.

For example, Paul Hastings supports the Cold Case Justice Initiative at Syracuse University,
which promotes discussion of racially motivated murders during the Civil Rights era and how
these murders affected the victims’ families, their local communities, and society at large. Partner
Reinaldo Pascual, who was recently elected to the Syracuse University Board of Trustees,
supervises the firm’s involvement and mentors summer associates who assist the Cold Case
Justice Initiative.

“During the school year I volunteered for the Cold Case Justice Initiative indexing FBI files, and in
April I attended a conference for families who lost members to the Civil Rights era violence. This
summer was a great opportunity to dedicate an extensive amount of time to the Initiative. My
main project…was looking into Congressional oversight related to lynching and racially motivated
murders...I learned more than I could have imagined…” – Lauren Neal, Summer Associate, Cold
Case Justice Initiative

Since the summer of 2010, Paul Hastings has maintained a diversity pipeline partnership with the
Ronald H. Brown Law School Prep Program at St. John’s School of Law, an eight-week program
that recruits students from underrepresented backgrounds who are often the first members of their
family to attend college and encourages them to pursue the study of law. The program, which
has been commended by The American Bar Association Council for Racial and Ethnic Diversity
for Excellence in Pipeline Diversity and is part of the Ronald H. Brown Center for Civil Rights
and Economic Development’s initiative to increase the pool of diverse students on law school
campuses, prepares students for the challenges of law school, the LSAT, and the law school
application process.

Students who have participated in the Ron Brown Prep Program have seen a dramatic increase
in their LSAT scores and have been accepted at the most competitive law schools in the United
States, achieving an almost 80% law school acceptance rate. In the summer of 2011, Paul
Hastings sponsored three undergraduate interns for a five week period who were paired with junior
associates in our New York office to receive firsthand experience working on legal matters for the

firm’s corporate, litigation, and employment departments. Paul Hastings is proud of our partnership
with the Ron Brown Prep Program, and we look forward to hosting and mentoring additional student
      interns in the future.

In Europe, the firm supports a new, annual graduate law scholarship at Oxford to advance the education
of talented students from diverse backgrounds. The Paul Hastings Scholarship awards an
      outstanding and financially deserving
      postgraduate law student with a
      scholarship, worth £10,000 annually,
      who pursues the BCL/MJur, MSc
Law & Finance one-year course, or
      one of Oxford’s Research Degrees.
      Akeem Adagbada, pictured at right,
was the inaugural recipient of the
      scholarship. In addition, lawyers
in the Milan office assist an anti-
      corruption education project at
the Universidad de San Andres in
      Buenos Aires, Argentina. The pro
bono project surveys comparative legal research on anti-corruption compliance in the legal profession
for the "Siemens Integrity Initiative" project, sponsored by TrustLaw of the Thomson Reuters Foundation,
and involves worldwide research on anti-corruption laws and regulations, and their actual implementation.
Paul Hastings Partners Bruno Cova and Bernadette Accili, along with associates Viviana Mara and
Anteo Picello, are involved with the Universidad de San Andres project.

Other academic programs at law schools where Paul Hastings lawyers play active roles include the
Innocence Project at Cardozo School of Law, Yeshiva University, which assists prisoners who could
be proven innocent through DNA testing; and the Charles R. Williams Institute on Sexual Orientation
Law at UCLA School of Law, which produces and disseminates sexual orientation law and public
      policy research with real-world relevance.

For a list of the higher education institutions that the firm supports each year, please see the “Paul
      Hastings: Community Investment” section.

“As a firm, Paul Hastings is committed to advancing undergraduate
and law school education around the world, mentoring and nurturing
those students who can become contributors to Paul Hastings
      success stories.”

enhances UCLA School of Law’s scholarly leadership in areas such as

Professor Lynn A. Stout, an internationally recognized legal scholar, has

In the cities where we live and practice, Paul Hastings contributes to the health and well-being
of the local community. Whether raising money for food banks, advocating for affordable
housing and care for the homeless, or providing pro bono services to community residents and

These are just a few examples of how Paul Hastings supports communities around the world.
On a global level, the firm assists the Acumen Fund

impoverished populations in India, Pakistan, and East
Africa. Through the Acumen Fund, a team of lawyers

OUR SUMMER ASSOCIATES IN THE COMMUNITY

Following a training session with the Orange County Public Law Center, several Paul Hastings
lawyers and summer associates signed on to represent low-income individuals in Orange County,
California, in connection with their guardianship proceedings. Associate Billy Essayli and Summer
Associate Jaclyn McDonald represented a Santa Ana resident in gaining legal guardianship of
her three grandchildren. The grandmother raised the children since birth because their mother was
unwilling to care for them, and their father had been deported on multiple occasions.

Associate Megan Acosta and Summer Associate Kris Wood represented a grandmother
who was petitioning for guardianship of her granddaughters. Their mother had abandoned the
children and eloped to Mexico with her current boyfriend. One girl's father was deceased while
the other girl's father had similarly abandoned her and moved to rural Mexico. Their grandmother
was the only one left to care for the children. Subsequent to taking on the case, Megan and Kris
discovered that the girls who were brought here illegally by their mother were eligible for green
cards because their mother had abandoned them. As a result, the representation has expanded

to include the process of gaining permanent resident status and eventually citizenship for the girls.
In addition to the guardianship matters, Associate Tina Ashtiani and Summer Associate Kris
Wood have assisted a mother and son in obtaining U-Visas for nonimmigrant status. The mother
was abused by her boyfriend, the child's father, and cooperated with the police in the investigation
and trial of the father. Because the mother also has two young sons who are United States
citizens by birthright, Tina and Kris's efforts have become essential to ensuring that the family can
stay together in the United States.

      HEALTHCARE
The Paul Hastings community donates funds and pro bono services to nonprofit organizations
that focus on health and wellness – Alzheimer’s, cancer, diabetes, heart and pulmonary diseases,
HIV/AIDS, leukemia, and multiple sclerosis research are a few of the fields supported by our
       employees.

Paul Hastings Chair Seth Zachary serves on the Doc2Dock current board of directors. For
several years, the firm has donated monetary and pro bono resources to this New York-based
charity that collects and redistributes usable medical supplies to clinics and hospitals in developing
       countries around the world.

Paul Hastings is committed to supporting the fight against cancer, a life-threatening disease that
affects millions worldwide. The American Cancer Society, Georgia Cancer Coalition, and the UC
San Diego Moores Cancer Center, one of the top-ranked cancer services centers in the United
States, are just a few examples of organizations that receive firm support.

ARTS AND CULTURE

In a challenging global climate, the literary, performing, and visual arts provide us with creative
avenues to develop solutions to some of the world’s major issues. Paul Hastings embraces
creative exploration and is a proud sponsor of arts and culture organizations around the world.

Pro Bono and Community Chair Barbara L. Johnson plays a key role with the Sanaa Circle,
a support group composed of primarily African-American lawyers, that raises funds for the
Smithsonian’s National Museum of African Art, a leading museum dedicated to the collection,
conservation, study, and exhibition of traditional and contemporary African art. Last year, the firm
hosted a fundraising event at the M. Hanks Gallery in Santa Monica, California, which featured
remarks from the museum director, Dr. Johnetta B. Cole.

LAW IN THE PUBLIC INTEREST

Each year, Paul Hastings donates more than $55 million in pro bono services to individuals and
organizations that cannot otherwise afford adequate representation. The firm is a major sponsor
of the Homeless Court Project, which are community courts that promote efficiency in judicial
proceedings for homeless citizens (see “Paul Hastings Represents Homeless Clients”).

In conjunction with Bet Tzedek Legal Services and the Holocaust Survivors Justice Network
(HSJN), the firm represents more than 60 Holocaust survivors, widows, and widowers in their
efforts to obtain pension payments from the German government. Bet Tzedek is one of the
nation’s premier legal services organizations and provides free legal assistance to people of all
races and religions.

In Atlanta, we hosted the Pro Bono Partnership's Nonprofit Legal Check-Up, whereby Paul
Hastings teams with UPS and local nonprofit organizations to identify legal issues in the community
and to help these organizations address them. This program is an example of how the firm
collaborates with large corporations to provide free legal services for small, nonprofit organizations.

In Orange County, California, Paul Hastings received the Law Firm of the Year Award from the
Public Law Center Volunteers for pro bono work assisting military veterans, immigrants, families,
and other underrepresented members of the Orange County community. Partner John Della
Grotta accepted the award on behalf of the firm.

In Washington, D.C., Partner Steve Kinnaird received the Public Advocates Award from the
Kentucky Department of Public Advocacy for his historic U.S. Supreme Court victory for pro bono
client Jose Padilla. As a result of the Court’s ruling, it is now inaccurate to characterize deportation
as a separate or “collateral” consequence of a conviction.

      PAUL HASTINGS REPRESENTS HOMELESS CLIENTS

Throughout 2010 and 2011, a large team of Paul Hastings lawyers represented homeless clients
in almost 90 cases in the Los Angeles County Superior Court. These cases have typically involved
criminal charges such as jaywalking, littering, or other minor offenses, but have also sometimes
included criminal charges for their failure to appear in court with respect to the underlying
accusations. The citations were issued by the Los Angeles Police Department as part of a
concerted effort to establish more orderly conditions on Skid Row. Although these types of criminal
charges may seem relatively minor, the failure to respond and resolve them could potentially result
in rather severe consequences (including the possibility of arrest or enhanced fines/penalties) to
      many homeless individuals.

Recognizing the importance of these cases, the Paul Hastings team has devoted significant
time and effort to representing homeless individuals at their arraignments on these charges and
in subsequent trials. Approximately half of these cases have resulted in trial wins, dismissals, or
suspended sentences (i.e., no fines or fees imposed against our clients). The team had a streak of
      13 consecutive victories from mid-November to mid-December 2010.

As the firm’s involvement in this project successfully winds down, it is important to recognize the
hard work and dedication of the Paul Hastings team. The team has included Kai Bartolomeo,
Jessica Pae Boskovich, Peter Brejcha, Jay Chiu, Jenifer Doan, Phil Lebel, Colin

throughout the project.

GO GREEN INITIATIVE
Paul Hastings is committed to environmental and sustainability
leadership in all facets of firm operations and activities. In its
third year, the Go Green program continues to advance
the firm’s sustainability goals. By partnering with clients and other organizations, we leverage our
efforts to greater effect and have achieved results which have been recognized by environmental
organizations. Some key developments in the past year include:

■ Becoming a founding member of the Law Firm Sustainability Network, a group of leading
law firms that was founded to share best practices, develop industry specific sustainability
benchmarks, and promote ideas of sustainability within law firms.

■ Initiating efforts jointly with our building landlords on energy audits to improve energy efficiency
    in our occupied areas.

■ Expanding our Shred and Recycle Program, which recycles 100% of the firm’s waste paper in
our U.S. offices, to our international offices. The program is recognized by the U.S. Green
Building Council’s Leadership in Energy and Environmental Design (LEED). Since the inception
of the program, we have saved more than 1,500 trees and 650,000 gallons of water, and
reduced our greenhouse gas emissions by 90 metric tons each year.

                                                                                                           18

PAUL HASTINGS PRO BONO AND
COMMUNITY SERVICE AWARDS
Each year, Paul Hastings honors its lawyers who have exhibited exemplary service with the Paul Hastings
Pro Bono and Community Service Awards. This year’s winners are:

ROBERT HASTINGS AWARD FOR COMMUNITY SERVICE
This award recognizes a firm partner who demonstrates sustained
leadership in community and pro bono service.

                                    PETER WEINER
                                    Partner, Real Estate Department

As head of the firm’s Environmental and Energy practice and a
real estate partner based in the San Francisco office, Peter Weiner
contributes significant hours to the protection and promotion of
our environment and natural resources, both through his broad
client practice and his pro bono and community service to several
                                    environmental organizations.

Peter is a long time participant and leader on important environmental issues. In the mid-1970s and
early-1980s, he served as a Special Assistant to the Governor of California and participated in the
drafting of more than 25 basic environmental laws, including the State Superfund law. A consistent
appointee to California governmental advisory groups, Peter currently serves on the Advisory
Committee to the Director of the Department of Toxic Substances Control (DTSC), the DTSC
Brownfields Revitalization Advisory Group, and the Statewide Advisory Committee to the University
of California Center for Occupational and Environmental Health.

Peter has represented Bay Area Residents for Responsible Development and the Richmond Southeast
Shoreline Community Advisory Group in seeking a safe and health-protective cleanup of contaminated
property in Richmond, California. The project has been unique in the annals of contaminated property
cleanups. It was:

■ The first site to be involuntarily shifted from one agency with little human health expertise to
another state agency with more expertise and more public process. The community, with Paul
Hastings' support, got the Legislature to hold a special hearing at the site, and approximately
240 people participated in six hours of testimony.

■ The first site to obtain a grant from the developer for technical consultants to advise the
community ($200,000 per year), after the community’s challenges threatened to slow the
    development.

                                                                                                          20
PRO BONO & COMMUNITY

      ■ The model for recently enacted statewide legislation that compels all agencies to consider the
types of risks that the Richmond site poses (vapor intrusion into indoor air).

Peter sits on the Government Relations and Governance Committees of the California State Parks
Foundation (CSPF), an organization of 120,000 members that is the primary, statewide nonprofit
organization dedicated to protecting, enhancing, and advocating for California's 278 state parks,
the largest state park system in the United States. CSPF raises money to assist in acquiring and
maintaining state parks and for programs to help underprivileged children visit and enjoy California
      state parks.

Peter serves on the executive committee of the Board for Coalition for Clean Air (CCA), an
organization that fights for clean air in California. CCA is responsible for statewide legislation and
regulation to give low cost loans to dry cleaners who switch from carcinogenic perchlorethylene
to “wet” cleaning and other less toxic methods, as well as a regulatory phased-in ban of the
carcinogen. CCA has advocated for pollution reduction at California ports by putting a fee on ship
containers and using the money for infrastructure improvements (to make rail traffic safer and
faster), emission reductions, and public health subventions.

Peter plays an active role on the board of directors of the Citizens for East Shore Parks (CESP),
a group that was created to counter proposals by the Santa Fe Railroad to build large-scale
developments on its shoreline properties. Because of CESP’s work, Eastshore State Park in
California was established; it features miles of protected shoreline and trails in one of the most
densely populated areas of the United States.

For these and many other pro bono and community activities in which Peter plays a leadership
role protecting our environment, promoting broad-based community involvement, and advocating
responsible public policy, Paul Hastings salutes him and recognizes him with the 2011 Robert
      Hastings Award for Community Service.

“I do not believe that community service is a burden that needs to
be rewarded with recognition. It brings me joy and satisfaction that
I am giving back. I really think that's enough. I do hope, however,
that this recognition is a beacon to other lawyers showing how Paul
      Hastings fosters these efforts.”

PRO BONO & COMMUNITY LEADERSHIP
AWARD: ALEXANDER LEE & JODI KLEINICK
This award is given to the attorneys demonstrating outstanding pro bono and community service
leadership for the year.

Alexander Lee served as the Los Angeles Pro Bono and
Community Partner from 2008 through 2010. In that role,
Alexander created the PB5 Program, which propelled the office
to new heights in pro bono participation and recognition through
the focused growth and development of the firm's relationships
with key pro bono organizations in Los Angeles. In this and other

integrated strategy for community service and charitable giving.
