CANADA
The Canadian Securities Administrators stated1 that it will be providing public companies with temporary blanket
relief from certain filing and delivery requirements, which are generally tied to the sending of materials for annual
general meetings (AGMs). With this conditional temporary relief, the CSA is giving public companies until December
31, 2020 to file their executive compensation disclosure. The CSA is also providing companies with temporary relief
from the requirements to send, or send upon request, copies of their annual or interim financial statements and
management’s discussion and analysis (MD&A) to investors within certain time periods.
The Office of the Superintendent of Financial Institutions provided2 a letter that outlines expectations to all deposit-
taking institutions (DTIs) on the use of Pillar II capital buffers for DTIs using the Standardized Approach to credit risk.
UNITED STATES (FEDERAL)
Senate Lawmakers are back in the Capitol today and Senate Majority Leader Mitch McConnell has cautioned3 that
Republicans will not be supporting another COVID-19 relief package without augmented liability protections for
employers. House Speaker Nancy Pelosi has stated4 that Democrats will return May 11th and vote to adopt voting
by proxy.
According to senior administration officials the Trump administration is formulating a proposal for tax and
regulatory changes5 to boost the economy that it tentatively plans to release later this week.
Today, the Supreme Court broadcasts oral arguments for the first6 time. This month, nine more arguments will be
held by telephone conference.

1,041 COVID-19 related bills have been enacted and
proposed in the U.S. The high level summaries are
included below.
Over 295 executive actions have been issued in 50
states, Puerto Rico, the District of Columbia,
Guam, and the Virgin Islands. Over 810 executive
actions have been issued in total
Over 120 bills have been introduced in 40 state
legislatures, Puerto Rico, and the District of
Columbia on paid sick leave and worker
protections as well as appropriations requests
Over 30 states and the District of Columbia have
issued emergency regulations on a number of

As of May 1, 2020, at least 22 legislatures (Alabama, Alaska, Arizona, California, Colorado, Delaware, Georgia,
Guam, Hawaii, Illinois, Iowa, Kansas, Louisiana, Minnesota, Mississippi, Nebraska, New Hampshire, New
York, Rhode Island, South Carolina, Tennessee and Virgin Islands) have postponed their legislative session.

IRELAND
2020/05/02 government outlines further measures to support businesses impacted by COVID-197
The Government has agreed a suite of measures to further support small, medium and larger business that are
negatively impacted by COVID-19. The Government has already brought forward a series of measures to support
those impacted by this global pandemic. They have included emergency income support such as the Temporary
Wage Subsidy Scheme and the Pandemic Unemployment Payment. It is now necessary to introduce a number of
additional measures to aid the economy as the COVID-19 restrictions start to be lifted.
Those measures are:
A €10,000 restart grant for micro and small businesses based on a rates/waiver rebate from 2019;
A three month commercial rates waiver for impacted businesses;
A €2 billion Pandemic Stabilisation and Recovery Fund within the Ireland Strategic Investment Fund (ISIF), which
will make capital available to medium and large enterprises on commercial terms;
A €2 billion COVID-19 Credit Guarantee Scheme to support lending to SMEs for terms ranging from 3 months
to 6 years, which will be below market interest rates;
The ‘warehousing’ of tax liabilities for a period of twelve months after recommencement of trading during
which time there will be no debt enforcement action taken by Revenue and no interest charge accruing in
respect of the warehoused debt;
A commitment to local authorities to make up the rates shortfall, so that local authorities can continue to
provide full services to the public.
NIGERIA
2020/05/03 CBN, Bankers’ Committee suspends lay-offs in banks8
A special meeting of the Committee was convened on May 2, 2020, to further review the implications of the COVID-
19 pandemic on the Nigerian banking industry. The Committee particularly deliberated on the issue of the operating
costs of banks in view of the disruptions emanating from the global economic difficulties and decided as follows:
In order to help minimize and mitigate the negative impact of the COVID pandemic on families and livelihoods,
no bank in Nigeria shall retrench or lay-off any staff of any cadre (including full-time and part-time).
To give effect to the above measure, the express approval of the Central Bank of Nigeria shall be required in
the event that it becomes absolutely necessary to lay-off any such staff.
The central bank of Nigeria solicits the support of all in our collective effort to weather through the economic
challenges occasioned by the COVID-19 pandemic.

2020/05/01 COVID-19: Financial Services and Markets Act 2000 (Regulated Activities) (Coronavirus)
(Amendment) Order 2020 published10
This instrument is being made in order to remove from the scope of consumer credit regulatory regime loans of
£25,000 or less that are made by commercial lenders to sole traders, unincorporated associations and partnerships
of fewer than four people under the Bounce Back Loan Scheme (“the BBLS”). The effect of this instrument is that
these types of loans will be exempt credit agreements and, with the exception of one type of activity explained
below, will therefore not be subject to the detailed consumer credit regulatory regime set down in the Consumer
Credit Act 1974 (“the CCA”), the various pieces of secondary legislation made under that Act and the relevant rules
made by the Financial Conduct Authority. This will exclude the activity of entering into loans under the BBLS from
the ambit of regulation under Financial Services and Markets Act 2000. However, as referenced above, there is an
exception as the instrument allows for the existing regulatory regime to continue to apply to lenders who carry on
the activity of debt collecting in relation to loans under the BBLS. This instrument will breach the 21-day rule for
laying in Parliament. It will come into force on 4 May 2020.

2020/05/01 ABI Comment on FCA Statement on SMEs and business interruption and product value14
The Association of British Insurers (ABI) has published its comments to the Financial Conduct Authority's (FCA)
announcement that it intends to seek legal clarity on business interruption insurance and to the FCA's proposals to
support customers and businesses who face issues due to coronavirus (COVID-19). Commenting on the FCA
statement on insuring SMEs and business interruption, ABI Director General, Huw Evans, said:
“This is a welcome step from the FCA and insurers will look to work closely with the
regulator to make this process a success.
Although the vast majority of business interruption policies do not cover
pandemics and the Government has confirmed it will not seek to retrospectively
amend contracts, we support any process that will provide clarity and certainty for
the minority of customers who are disputing whether they should be covered.
For valid claims, leading ABI members have agreed a set of claims handling
principles to ensure speedy processing, including interim payments."
On the draft guidance for firms on product value and coronavirus:
“Insurers agree with the FCA on the need to continue to review policies as the
effects of COVID-19 unfold. There are still many unknowable factors in how things
will pan out and we welcome a process which allows for solutions to be delivered
as the situation evolves. As the FCA highlights, insurers have already taken steps in
this regard in recent weeks and they will continue to do so.”

2020/05/01 Government loan support for small businesses15
The Government announced today it will provide interest-free loans for a year to small businesses impacted by the
COVID-19 response. The Small Business Cashflow Loan Scheme will provide assistance of up to $100,000 to firms
employing 50 or fewer full-time equivalent employees and will provide $10,000 to every firm and in addition $1800
per equivalent full-time employee. Loans will be interest free if they are paid back within a year. The interest rate
will be 3% for a maximum term of five years. Repayments are not required for the first two years.

2020/04/29 The World Federation of Exchanges’ academic review of short-selling concludes that bans are
disruptive to markets16
The World Federation of Exchanges (“WFE”), the global industry group for exchanges and CCPs, has today published
a paper that reviews the academic literature on short-selling and short-selling bans, comparing the arguments
against banning short-selling with the arguments in favour. The WFE’s paper - What does academic research say
about short-selling bans? - finds that the academic evidence almost unanimously points towards short-selling bans
being disruptive for the orderly functioning of markets, as they are found to reduce liquidity, increase price
inefficiency and hamper price discovery. Indeed, the evidence suggests that banning short-selling during periods of
heightened uncertainty seems to exacerbate, rather than contain, market volatility.
