What is cold foil
Cold foil transfer is a process in which aluminium, transported on a metalized polyester
carrier, is applied on paper or cardboard in a conventional offset printing press without the
use of heat. Adhesive is first printed on the paper sheet by means of the standard offset
printing unit, while on the following printing unit the metalized coating of the polyester
carrier is transferred only to the areas where the adhesive has been applied. The result is
a silver or gold glossy layer on certain parts of the printed sheet.

    From the first start up there will be at least 1 operator of the buyer to assist
    The working times must be allowed of at least 12 hours a day
    Our prices are all based on working days (from Monday till Friday)
    Waiting hours, caused by customer or subcontractors hired by the customer, will be
      charged separately

Delivery time
3 months, as from the date the contract is signed and receipt of deposit.

Installation
The installation of the Midas system (excluding traveling cost) are included in the price.
The installation of the main supplies to the machine has to be arranged by the customer.
The Midas 110 module will be tested with a test plate file supplied by the seller, together
with materials supplied by the customer (to be appointed by the seller). The test will be
made with 80% of the maximum production of the buyer printing press.The test will be
made with paper 130 g/m2. Quality MC double coated. Immediately after this test the
module will be accepted by the buyer. An acceptance protocol will be made.

Training
Included in the price is a 2-day training for your operating personnel.

Quality
We guarantee the quality of the module only if the tolerance of the blanket and impression cylinder
of the printing unit where the foil printing process takes place, is not more than 0,03 mm and there
are no holes in the cylinder deeper ten 0,01 mm. Our engineer can make an inspection protocol of
your printing press (together with the printing press operator) against additional payment.

Warranty
The seller warrants that the Midas module will be free from defects in materials and workmanship
when it is used properly and in accordance with the directions of use for the commodity. This
warrantee is valid for a period of 24 months beginning from the 9th day of arrival at the production
facility of the buyers. The remedy for breach of warranty shall be limited to replacement of
defective parts (mechanical and electrical). Consequential damages for breach of warranty where
the claimed loss is commercial are excluded. There are no expressed warranties beyond the
stated in writing. The warranty set forth above is the only warranty by the Seller with respect to the
commodity specified in this Agreement. No other warranties of any kind, whether statutory, written,
oral, expressed or implied, including but not limited to, warranties of fitness for a particular purpose
or merchantability, and shall apply.

Insurance
Machine including the installation is insured. The buyer will take care of theft and fire insurance
directly after the module is unloaded at buyers place

Delivery conditions
Supply of the machine covered by the contract shall be constructed under the laws and regulations
of The Netherlands. If the parties cannot resolve a dispute, the matter will be submitted to the
International Court of Arbitration of the International Chamber of Commerce (the “ICC”), Paris,
France, for arbitration in Rotterdam, The Netherlands, under the rules of arbitration of the ICC and
such arbitration will be conducted in the English language.

Payment conditions
40% - to be paid upon order and separate invoice
30% - beginning assembling (against prove and 2. invoice)
20% - with F.A.T. (Factory Acceptance Test) (against prove and 3rd invoice)
10% - with S.A.T. (Side Acceptance Test)/ general acceptance (final invoice)

Validity
This offer will be valid until 30 days after offer date.
