To approve the following as an Ordinary Resolution:

The Report of the auditors having been taken as read by the members, THAT the Directors’ Report
and Accounts for the year ended 31 December 2017 as now submitted to the meeting are hereby
approved and adopted.

THAT Messrs Magee Gammon be re-appointed Auditors of the Company to hold office until the
conclusion of the next General Meeting at which Accounts are laid before the Company and that
their remuneration be fixed by the Directors.

    entirety and its replacement therefor with the following new Article 6 (a):

    o the deletion of the words “(including any director appointed by the Academic SIG)” from the current Article 38.

    55 in their entirety and their replacement therefor with the following new Article 54:

• 54. The Board shall be responsible for maintaining membership classifications and benefits, and for
  setting membership subscription fees.

• THAT the current Articles of Association be amended by the deletion of the current Article 58 in its
    entirety and its replacement therefor with the following new Article 58:

• 58. An annual general meeting and a general meeting called for the passing of a special resolution
  shall be called by at least twenty-one clear days’ notice. All other general meetings shall be called by
  at least fourteen clear days’ notice.
