STANDARD TERMS & CONDITIONS OF SALE
1. INTERPRETATION
In these terms and conditions ("Terms"), the following words shall have the meanings given below:
"JML" means J M Loveridge Limited a company with registered company number 06368662 whose registered office
is at Ayrton House, Parliament Business Park, Commerce Way, Liverpool L8 7BA.
"Goods" shall mean all products and/or services sold and/or supplied by JML to a customer in accordance with these
Terms.
"Customer" shall mean a party purchasing Goods from JML subject to these Terms.
2. GENERAL
Any agreement for the sale or supply of Goods by JML to a customer shall be subject to these Terms, and unless
otherwise expressly agreed in writing, these Terms shall override any terms or conditions stipulated or referred to
by the customer in any given order or negotiations. Any other terms, including any set out on the customer's purchase
order or any other methods, shall be expressly excluded and the Goods shall be sold exclusively subject to these
Terms.
3. ORDERS & SPECIFICATIONS
The customer shall be responsible for ensuring the accuracy of the terms of an order (including any particular
specifications and the address for delivery of the Goods ("Delivery Address")) submitted by the customer to JML (an
"Order") and for giving JML any necessary information relating to the Goods within sufficient time to enable JML to
perform the contract in accordance with these Terms.
It is agreed that:-
(i) the quantity, quality and description of, and any specification for, the Goods shall be as set out in either (a) the JML
quotation (if accepted by the customer) (a "Quote") or (b) the Order (provided that such Order is subsequently
accepted unedited by JML in writing (a "Confirmed Order"));
(ii) a Confirmed Order may not be cancelled by the customer except with the written agreement of an authorised
representative of JML. If JML agrees to cancel an outstanding Confirmed Order (which it may do so at its sole
discretion) the customer shall indemnify JML in full against all losses, costs, charges and expenses incurred by JML as
a result of cancellation.
4. PRICES
The prices of the Goods shall be either (a) those set out in a Quote or (b) if no quotation has been given, those in
place at the time of the Confirmed Order, or (c) such price as may be agreed between theparties in writing during the lead time period of the order placement, and in each case all prices are exclusive of VAT.
All orders will be invoiced at the price shown on the Confirmed Order issued by JML following placement of the order
by the customer. Any changes in costs will be advised to the customer prior to confirmation of the order by JML.
5. PAYMENT
JML shall be entitled to issue an invoice for the price of Goods immediately upon despatch (as defined in clause 6
below). JML shall notify the customer when the Goods have been despatched. Payment of the full price for the Goods
specified in a Confirmed Order is due within 30 days' of the date of the invoice and is to be made in accordance with
invoice values. If the customer fails to make payment on the due date or fails to make payment under any other
contract between the customer and JML, then, without prejudice to any other right or remedy available to JML, JML
shall be entitled to:-
(i) cancel the contract and any other outstanding contract between the customer and JML; and/or
(ii) suspend or cancel delivery of any Goods in any then outstanding Confirmed Order; and/or
(iii) set off any payment made by the customer to such of the Goods (or Goods supplied under any other contract
between the customer and JML) as JML may think fit (notwithstanding any purported set off by the customer); and/or
(iv) charge the customer interest (both before and after judgement) on any amount unpaid with effect from and including
the due date for payment until, but excluding, the date upon which payment is made, at the rate of 3% per annum
above National Westminster Bank's base rate from time to time.
6. DELIVERY, RISK AND TITLE
JML offer a Standard 2-3 day delivery service to UK Mainland and Northern Ireland. Deliveries to Southern Ireland
and Highlands / Islands can take up to 48 hours longer.
Additional charges are made for Next Day, Timed Services and AM deliveries, dependent on delivery location and
weight of order.
VAT is chargeable on all orders.
Notwithstanding despatch and the passing of risk in the Goods, or any other provisions of these Terms, the property
in the Goods shall not pass to the customer until JML have received in cash or cleared funds payment in full of the
full price of the Goods and all other Goods agreed to be sold by JML to the customer for which payment is then due.7. NON RECEIPT/LOSS OF GOODS
Claims for non-receipt or loss of Goods will only be considered if JML is advised by the customer of such non-receipt
or loss in writing within 10 days of the date of the delivery or collection (as applicable) of the Goods.
8. BREAKAGES/GOODS DAMAGED ON DELIVERY
Any damage to Goods must be notified to JML in writing within 1 (one) working day of delivery or collection (as
applicable) of the Goods. Upon expiry of 1 (one) working day following delivery or collection (as applicable) of the
Goods such Goods shall be deemed accepted and no claims by the customer in relation to such Goods shall be
considered by JML.
If the customer identifies any damage in respect of the Goods, such Goods must be stored in a suitable location, to
prevent any deterioration in their condition and be retained for inspection by JML.
9. FORCE MAJEURE
JML's performance of its obligations in these Terms is subject to cancellation by JML or to such variation as JML may
find necessary as a direct or indirect result of inabilities to secure labour, materials or supplies or as a result of any
Act of God, war, strike, lockout or other labour dispute, fire, flood, legislation or other cause (whether of the foregoing
class or not) beyond JML's control.
10. LIABILITY
Except in respect of death or personal injury caused by JML's negligence, JML shall not be liable to the customer by
reason or any representation, or any implied warranty, condition or other term, or any duty, law, or under these
Terms, by statue, tort or otherwise for:-
(i) any indirect or consequential loss;
(ii) loss of profit, contract, opportunity or goodwill (whether direct or indirect); and/or
(iii) any costs, expenses or other claims for direct consequential compensation whatsoever (and whether caused by
breach of contract, negligence on the part of JML, JML's employees or agents or otherwise) which arise out of, or in
connection with, the supply of the Goods or their use or resale by the customer.
JML's entire aggregate liability to the customer whether arising out of or in connection with these Terms in respect
of the Goods in a Confirmed Order shall not exceed the total the invoice price of the Goods complained of, excluding
VAT.11. LAW & JURISDICTION
The construction, performance and validity of this contract shall be governed by the Laws of England.
The customer and JML hereby irrevocably submit to the exclusive jurisdiction of the courts of England to resolve any
disputes arising out of or in connection with these Terms.
12. INSURANCE
JML will not be held responsible for any loss or damage whatsoever to property belonging to the customer.
13. DESPATCH PERIOD
The date and/or period quoted for despatch is an estimate only. JML shall use reasonable endeavors to deliver or
make available for collection (as applicable) the Goods and/or perform the services by the date specified on the
Confirmed Order. JML shall not be liable for delay in delivery from any cause whatsoever and howsoever arising.
Time shall not be of the essence of the contract.
14. COMPONENTS & MATERIALS
Excess components and/or materials remaining after delivery of the Goods in an Order will be stored free of charge
for a period of up to six (6) months. After this period, JML may (at its discretion) either:
(i) Return the components and/or materials or
(ii) invoice the components and/or materials to the customer; or
(iii) dispose of the stock (at the customer's cost). There will be a minimum fee of £50.00 charged for this service.You can also read
