    businesses. In addition to accountants, tax consultants and auditors, Bol now also
    offers expert legal specialists, corporate finance advisors, payroll administrators, HRM
    consultants and specialists regarding international business operations.

    Mission statement
    The mission statement of Bol is: Challenging businesses and employees to grow. To
    realise this mission, we deploy four key-drivers in our organisation. We do all possible
    to:

    4. Offer effective and efficient solutions

    Our motto is: Think business. Think Bol.

    Size does matter?
    Bol employs a total of 150 professionals, whilst management of the organisation is the
    hands of our seven experienced and highly involved senior partners. We are working
    for over 2,000 domestic and international clients. The vast majority of these
    companies is involved in international activities.

2
However, more importantly: our professionals boast extensive experience in
international activities. Moreover, they provide knowledge of local Dutch regulations
at a very deep level. This is why we can provide the optimal solution if you plan to start
operating in the Netherlands.

Bol International versus Bol Adviseurs
Bol International is the brand name used for the company’s international activities.
Our skilled professionals make an effort to realise the ambitions of foreign
entrepreneurs in the Netherlands on a daily basis.

The name Bol Adviseurs (translated to English: Bol Consultants) is our brand name used
for our services for local Dutch companies.

Is Bol International a good fit to your ambitions?
Bol International works both directly for non-Dutch companies and for their local
consultants. We often get in touch with an entrepreneur when his/her own accountant
recommends involving us. If you are doing business or plan to do business in or via the
Netherlands, you can rest assured that your issue is in good hands with us. We can
advise you regarding all aspects of doing business in the Netherlands as an
international company.

We are a member of international partnerships and are in close contact with
specialists in other countries. This allows to involve any local expertise required to find
the most suitable solution to your situation.

                                                                                              3

    Bol International offers you or your client all support you require to set up business in
    or do business from the Netherlands. We offer specialists in the fields of International
    Tax, Fiscal Representation, Expat services, Payroll Administration, Accountancy and
    Online Services, Auditing, Corporate Finance and Legal Services. Furthermore, we have
    reliable, regular partners that can set up a B.V. entity on your behalf.

    We offer services to businesses in all countries; however, we have country-specific

    and a German Desk.

    International tax
    Working internationally requires a broad perspective. That is why it is nice when an
    experienced professional specialising in local legislation can step into your shoes and
    help you find the best international business solutions. Bol International works with a
    full team of just such professionals. We systematically and structurally deploy our local
    expertise and knowledge of international business for our foreign customers.

    Naturally, we use digital tools in our work. For example, we have access to the largest
    tax library in the world: the International Bureau of Fiscal Documentation (IBFD). This
    enables us to clarify tax issues for any country within a short time.

    Close collaboration and partnership with foreign specialist offices keeps our
    international knowledge and expertise up to date. We exchange information and
    experiences at specialist conferences, where we often give lectures ourselves. This
    way, we always have our network and current knowledge available. We know most of
    our foreign counterparts personally. Furthermore, we are a member of the
    International Fiscal Association (IFA). If we happen to not know anyone in a certain
    country, a single phone call to our international colleagues is generally sufficient to
    find the right professional. Bundling our forces means optimal service to you.

Methods and quality

Our people perform their work according to plan, prepare thoroughly and keep
themselves well informed, on a structural base. At Bol we believe you are only a true
professional if you act like one all the time and wherever you are. It does no matter
whether or not it involves a one off piece of advice or the complete supervision of a
large project.

In our services we focus on the goals you intend to achieve. For instance finalising a
takeover, improving your cash flow, solving on-going organisational problem or
optimizing your tax-situation.

Collaboration with your local consultant
Many entrepreneurs work closely with a local accountant or consultant in your country
of origin. When plans to expand to The Netherlands occur, that local adviser probably
does not have the insight knowledge of the do's and the don't in The Netherlands. We
are happy to work closely with local consultants, to bring the best results for
entrepreneurs. We are convinced that the synergy of knowledge of the entrepreneurs,
the local consultant and Dutch consultant will deliver the best solutions.

                                                                                         5
US Desk

    The Netherlands and the US have long been significant trading partners. The fiscal
    relationship between both countries also goes back a long way. For instance, tax
    incentives were used to encourage Dutch people to emigrate to the US as early as
    1629. Furthermore, a 10-year tax holiday was granted to expatriates who wished to
    settle in New Amsterdam (the current New York). In order to confirm the special link
    between both countries, the Netherlands was in 1782 the second country to recognize
    American independence. The first Dutch-American tax treaty was finally concluded in
    1948 (the current treaty dates from 1992).

    There are a great many commercial transactions between both countries. On the one
    hand, the Netherlands is one of the largest foreign investors in the US, particularly in
    the real estate sector, and on the other, many American businesses use the
    Netherlands as a gateway to Europe and also as a holding location for the worldwide
    subsidiaries. Of all American businesses with a distribution center in Europe, 65% are
    based in the Netherlands.

    American tax legislation is known to be complicated. That also applies to most tax
    treaties concluded by the US, which contain the ‘famous’ so called limitations on
    benefits provisions.

    Since Bol International has a growing number of American clients, we have channeled
    our knowledge and experience gained into our US Desk:

       we have full time dedication to the US market and US clients;
       there is a high level of partner involvement;
       members of the US Desk visit the US 4 to 5 times a year;
     we have broad experience with setting up so called CV-BV structures and the use of
        so called Coops;
     we have experience with ruling procedures with the APA/ATR Team of the Dutch tax
        authorities;
       we have extensive experience to collaborate with Dutch and US accountants;
     we are member of the American Chamber of Commerce in The Netherlands and of
        the International Fiscal Association (IFA);

6
 we have access to the largest tax library in the world: the International Bureau of
    Fiscal Documentation (IBFD);
 through offices in Amsterdam, Nijmegen, Boxmeer, Venray and Schijndel the US Desk
    in the Netherlands is always within a 1.5 hour drive from Amsterdam Airport
    Schiphol;
 US Desk rates vary between EUR 130 and EUR 260 p/h (excl. VAT).

As a result of the US Desk, we, and our American colleagues, can be of service to you in
activities including the following:

Tax
    Help and advice to manage the US tax position;
    Setting up a holding structure;
    Structuring worldwide royalty, interest en dividend streams;

    Advice on implementing cross-border finance structures;
    Advice regarding Subpart F legislation and avoidance of §956 inclusion;
    VAT Representation.

Crucial questions before we start working for a US client will usually be:
1. What is the US tax credit position (excess credit, excess limitation, managed tax
   position, net operating loss or overall foreign loss)?
2. What are the treasury goals (repatriation or not)?
