Conflict Between State Statutes

                               Md. Code Ann., State Gov’t, Section 9-1A-04(h)
                               “[t]he [State Lottery and Gaming Control] Commission may not permit the operation of
                               video lottery terminals in Prince George's County before the earlier of July 1, 2016, or 30
                               months after the video lottery facility in Baltimore City is open to the public.” (emphasis
                               added). *

                               Result: MGM cannot open before July 1, 2016

                                 Md. Code Ann., State Gov't, Section 9-1A-11(b):
                                 “(b)    Commencement of operations; extension of time; reversion of license.—
                                              (3) Notwithstanding paragraphs (1) and (2) of this subsection, the
                                 Commission may allow an awardee of a video lottery operation license in Prince
                                 George’s County to commence operation in a permanent facility more than 18
                                 months, but not more than 30 months, after the license is awarded.” (emphasis
                                 added). (MGM was awarded the Prince George’s County license on December 23,
                                 2013)

                               Result: MGM must open between June 23, 2015 and June 23,
                               2016

Under section 04(h), the July 1, 2016 date is the earlier, and therefore applicable, date because the Horseshoe Casino opened in Baltimore on

Current Decision Statement Must Be Modified

                                                “MGM proposed to construct a new facility at
                                                National Harbor that would have amenities
                                                including a hotel, restaurants, retail, and
                                                entertainment venues. Construction on the
                                                facility would be complete for a facility opening
                                                in July 2016.” (Decision Statement for Prince George’s
                                                County VLF, Page 2 (emphasis added))

                                                Request:

                                                MGM requests that the Location Commission amend the
                                                Decision Statement to clarify the permissible opening
                                                date of the Facility.

Conflict: As presently worded, the Decision Statement assumes an unspecified opening
date in July 2016, contrary to Md. Code Ann., State Gov't, Section 9-1A-11(b) and

          MGM National Harbor would operate more than the maximum number of VLTs
          specified if additional VLTs should become available under the Gaming Law. While
          the Applicant does not currently contemplate requesting additional VLTs beyond
          3,600, it may, at some future date and depending on various market factors,
          request to increase the number of VLTs if permitted by the Gaming Law.              Request:
          MGM National Harbor reserves the right to request to alter the number of Table
          Games in the future as market conditions and seasonality warrant.                   MGM requests that the Location Commission amend

          Gaming Law.

          MGM National Harbor reserves its rights with regard to any future changes in the
          Gaming Law pertaining to operator’s share.

          D. PROPOSED HOURS OF OPERATION
          MGM National Harbor proposes to operate 24 hours per day/365 days per year .

          E. SSCEDULE OF IMPLEMENTATION
          Barring circumstances that are outside of MGM National Harbor’s control, and
          based on the assumption of VLT license award and zoning approval in December
          2013, it is anticipated that VLT and Table Games operations would commence by
          July 1, 2016.
