CALL TO ORDER
Chair Heifner called the meeting of the Columbus Regional Airport Authority Board of Directors to order at 4:03 p.m., Tuesday,
September 28, 2021. Board member, staff and guest attendance was confirmed through visual or electronic means, and
passwords were provided where required. Knisley confirmed that all attendees were able to hear the meeting and had access
to the meeting materials.

Chair Heifner stated that the meeting was being conducted by video and telephone conference. Chair Heifner asked each
attendee to identify themselves when they spoke and stated that all votes taken during the meeting would be conducted by
roll call to ensure a clear and accurate record.

MINUTES
Chair Heifner asked if there were any corrections to the minutes for August 22, 2021. Hearing none, Bertley moved for approval;
Kessler seconded. Chair Heifner conducted a roll call vote. Motion to approve the minutes passed.

COMMITTEE REPORTS
Air Service and Customer Experience Committee:
Bertley reported the committee had not met since the last Board meeting.

The committee’s next meeting is scheduled for November 17, 2021.

Business Development & Logistics Committee:
Kessler reported the committee met September 22, 2021, and discussed:
Air Cargo
The committee received a comprehensive update on air cargo activity at Rickenbacker. The update provided a detailed
review of both operational and business development activities occurring in the third quarter of 2021.

    •    Third quarter is seeing a continuation of upward growth in both cargo volumes and international arrivals. Of
         particular note, is the sharp increase in international export volumes which are vital for sustainable service from the
         air carriers. In response to increased volumes, Staff continues to work closely with on and off airport warehouse
         operators and service providers to optimize and increase through-put capacity of Rickenbacker.

             o    With the strong cargo demand not likely to abate any time soon, the Real Estate Team reported on efforts
                  to develop additional on-airport warehouse space as well as a high-level overview of leasing and
                  development activity at our three airports, and the Rickenbacker Global Logistics Park.
Real Estate
The committee reviewed the current leasing activity for Authority properties and discussed upcoming expected activity.

Concessions
The committee received a briefing on CLEAR, a subscription based biometric identify verification service that expediates
passenger verification at security checkpoints.

    •    CRAA is in discussions with CLEAR for their investment to implement this amenity at all three checkpoints at CMH.
         A resolution is planned to be presented next month.

Heifner complimented Charlie Goodwin and the entire LCK Team for their work in the face of increased volumes and industry
shift to passenger planes being used for freight.

The committee’s next meeting is scheduled for January 19, 2022.

Facilities, Services & Innovation Committee:
Chodak reported the committee met September 22, 2021, and discussed:

Safety
All leading safety indicators were in the green for the month of August.

       •       The quarterly incident review is scheduled for next month.
                   o During the Committee Meeting, Casey Denny, Chief Operations Officer, advised an active issue was
                       underway: The Air Traffic Control Tower at John Glenn International was being closed for 1-2 hours for
                       disinfection cleaning due to possible COVID exposure. Air traffic control was being temporarily
                       transferred to Indianapolis facilities.

CMH – John Glenn International
The Conrac construction was completed as scheduled and operations commenced on September 1 st. The transition from the
existing facility to the new Conrac was completed over a period of twelve hours with minimal impact.

The garage reclamation project is underway

                   o   Revenue parking position will begin to come online in late 2021, with a completion scheduled for mid-
                       2022.

LCK – Rickenbacker
Runway 5R-23L construction is nearing completion with pavement markings scheduled to be completed by the end of
September. The runway is scheduled to open for operations in mid-October.

Rickenbacker Ramp 1 rehabilitation work is scheduled to commence in Spring of 2022.

Intermodal 24” Sanitary Sewer project testing and final inspections have been completed and final letter of acceptance is
anticipated from the City of Columbus marking substantial completion of the project.

Air Cargo Terminal Cold Transfer Facility office area and warehouse are nearing completion.

2021 Capital Improvement Plan (CIP)
The Capital spending plan was reviewed. We anticipate a projected spend of $64M vs a planned spend of $65M.

The next committee meeting is October 20, 2021.

Finance & Audit Committee:
Miller reported the committee met on September 22, 2021, and discussed:

           •    There was a review of the monthly financial statements for August 2021.
           •    Jenny Gardner, Staff Auditor, provided a summary of the Internal Audit work plan and update on completed
                audits for 2021.
           •    Paul Streitenberger, CFO provided a high-level update on August financials and an update on the ongoing
                negotiations and renewal of our Revolving Credit Facility with Bank of America. The agreement expires at the
                end of the year, and a resolution will be brought to the full board in November.

The next Finance and Audit Committee meeting is scheduled for October 20, 2021.

Chairman Heifner complimented the team for increasing the bottom line by $12M. Taking CRAA from $10M last year to $23M
this year (YTD), while not increasing expenses. Heifner acknowledged the increase in revenue produced by the hotels;
Streitenberger stated the hotels were even sold out the past weekend due to several local events in the Columbus area.

Heifner also acknowledged the increase in revenue at Rickenbacker from $3.4M last year to $7M this year (YTD).

Human Resources Committee:
McDonald reported the committee had not met since the last Board meeting.

The committee's next meeting is scheduled for October 20, 2021.

PRESIDENT & CEO REPORT
Nardone provided brief remarks regarding the September President’s Report, which may be obtained in full online:

Nardone opened his remarks by congratulating Chairman Heifner on his company, Renier Construction, for being selected
by Columbus Business First or the 5th year in a row as a “Best Places to Work” and also congratulating CRAA’s Chief
People Officer, Shannon Fitzpatrick for being selected by Columbus Business First as an inaugural class of HR
impact award honoree. Nardone stated they would both be honored at an awards celebration on November 3, 2021.

Nardone pointed out the physical awards being displayed in the Boardroom were for:

    •   Rickenbacker being named Ohio Airport of the year
    •   2020 Airport Service Quality Award from ASQ

Nardone shared the following top takeaways:

    •   Rickenbacker’s extraordinary growth continues - Rickenbacker continues to experience astounding growth
    •   We have already seen more international landings this year than in any other full year in the past, to the tune of just
        over a 70% increase compared to 2020, and our team is providing a significant amount of service to load and
        unload these aircraft.
    •   First daily service from CMH to Austin announced by Southwest, beginning March 10, 2022.
    •   Announced September 28, 2021, Frontier will be adding two new routes from CMH; which include Tampa,
        beginning December 17, 2021 and Cancun, beginning January 21, 2022
    •   CRAA employees recognized:
             o Officer Adair receives TSA Patriot Award - Officer Alan Adair received this year’s Transportation
                  Security Administration Patriot Award. Only 24 individuals selected from the military, law enforcement,
                  emergency services, security services and public servants from across Ohio were recognized for their
                  significant contributions to the security of the United States and the state of Ohio. Thanks Officer Adair for
                  continuing to represent CRAA and our police force so well in the community.
             o Charlie Goodwin named Airport Professional of the Year Congratulations to Charlie Goodwin, Director,
                  Operations & Aviation Business Services, for being named the Great Lakes Chapter of the American
                  Association of Airport Executives’ 2021 Airport Professional of the Year! Charlie was nominated for his
                  leadership during the pandemic, his leadership of Rickenbacker Aviation Services during an influx of cargo
                  activity, as well as his many years of service to the Great Lakes Chapter.
             o Sergeant Davies honored Sergeant Greg Davies was recognized at the Columbus Clippers baseball
                  game on September 11th during their 20th anniversary remembrance ceremony. Sergeant Davies was
                  recognized for his commitment to public safety and to the Central Ohio community. We thank Sergeant
                  Davies for the incalculable contributions he has made for the safety of our airports, employees and
                  customers.

Resolutions
RESOLUTION #48-21 of the Columbus Regional Airport Authority authorizing the execution of a consolidated amendment to
extend the ground lease agreement with Federal Express Corporation for the areas known as the security building, the truck
scale and block heaters located at 7066 Cargo Road, Columbus, Ohio at Rickenbacker International Airport through October
30, 2030.

OTHER BUSINESS
Chairman Heifner thanked Dr. Bertley for his public service work relating to COVID. Heifner also acknowledged the
announcements in the terminal, encouraging passengers to get vaccinated and asked Dr. Bertley to “keep up the good
work”.

With no further business brought before the Board, Bertley moved to adjourn; Miller seconded. Chair Heifner adjourned the
meeting at 4:28p.m. on Tuesday, September 28, 2021.

HEALTH & SAFETY

Coronavirus (COVID-19) response

CRAA continues to encourage employees to get vaccinated and follow established health and safety protocols. To
further encourage employees to protect themselves, their family and co-workers, we announced a new incentive
program this month. CRAA will pay every vaccinated employee $500 if we reach 300 fully vaccinated employees by
November 30. This incentive is designed to protect our workforce, ensure our operations can be maintained, and
better position us for the pending federal vaccination mandate.

In addition, CRAA hosted a vaccine clinic at CMH on October 12 and will host a clinic at LCK on October 27. The
clinics provide easy access to flu vaccines, COVID vaccines and COVID booster shots at no cost to employees.

Masks remain required in all indoor areas of the airport and on shuttle buses per the TSA Security Directive.

Passenger air service

Travel trends
Passenger traffic continues to hover around 75% of pre-pandemic levels, with an average 10,221 combined
passengers departing from CMH and LCK during the last two weeks of available data (Oct 4-17). Thursday,
October 14 was the busiest day since the start of the pandemic with an estimated 13,754 passengers departing
from the two airports.

Route restoration
In November, American and Delta will return service between CMH and New York’s JFK airport. With this change,
service will be returned to all three of the New York area airports that were served pre-pandemic: JFK, LaGuardia
and Newark.

November will also bring the return of Southwest’s service to the DCA airport in Washington, D.C. The route is also
served by American.

More flights to beaches
In advance of winter, airlines continue to add flights to some of the most popular beach destinations, including:
    • New Frontier flights to Tampa (beginning. Dec. 17) and Cancun (Jan. 21)
    • United’s return of seasonal, Saturday-only flights to Ft. Myers (Dec. 18)

International travel restrictions easing
Effective November 8, fully vaccinated foreign visitors will be allowed to travel to the U.S. again, lifting travel bans
that for some countries have been in place for 19 months. Proof of a recent COVID-19 negative test result will also
need to be provided.

Air cargo service

                              Rickenbacker’s monthly cargo volume, year-over-year

Cargo activity – September
   • Cargo volume was up 40.6% for the month, and up 28.1% year-over-year
   • Cargo operations were up 23.9% for the month, and up 15.3% year-over-year

Cargo activity analysis
As the global supply chain continues to experience a period of disruption, Rickenbacker continued its string of
record-breaking months for cargo activity. International cargo volumes were up 65% over September of 2020, and
international flights bringing that cargo were up 83%. While Rickenbacker is still running at capacity, and likely will
through year’s end, some of the warehouse congestion has been abated and we have been working with partners
and stakeholders to store any excess freight out of the weather.

Rickenbacker was also featured prominently in local, national and international news outlets recently for the role we
play in helping mitigate through the Great Supply Chain Disruption. Of note is this article published by Agence
France-Presse (AFP) across multiple media outlets including Yahoo, MSN, International Business Times and many
other print and digital publications across the globe:

Maestro Cargo announces it will operate at LCK
Rickenbacker will soon be welcoming another premier service provider as announced on October 11. Maestro
Cargo, also known as MIC Cargo, has selected Rickenbacker for its first expansion outside of Chicago O’Hare
(ORD) and we are excited to welcome them and their forwarder-friendly approach. Maestro is a prominent ground
handler and air cargo services provider, currently operating four separate facilities at ORD. They handle both on
and off-airport warehouses dedicated to processing inbound and outbound international air cargo. Maestro will
provide the same services that occur in our on-airport cargo terminals, at a location that became available just off-
airport.

Improved main runway opens
The primary runway at Rickenbacker International
Airport is now open after completing upgrades
that will better serve the expanded operations of
the world’s largest freighter aircraft, such as the
Boeing 747-8F regularly flown by Cathay Pacific,
Cargolux and other air carriers.

At over 12,000 feet in length, Runway 5R-23L is
the primary runway of Ohio’s premier cargo
airport. Multiple phases of Federal Aviation
Administration grant funding supported the
improvements including:
    • Asphalt resurfacing to an advanced
         aircraft classification
    • Construction of 40 ft. shoulders and
         expanded blast pads
    • Relocation/replacement of airfield
         navigational aids
    • Updated lighting and signage

We thank our congressional leaders for advocating for this important project, including U.S. Senators Sherrod
Brown and Rob Portman; U.S. Representatives Joyce Beatty and Troy Balderson; and retired Congressman Steve
Stivers. Thanks to their leadership as well as the State of Ohio, Rickenbacker can continue to serve as a critical
global gateway for years to come.

Human Resources

Diversity Apprentice Program
CRAA is proud to participate as a host business for the inaugural class of Experience Columbus’ Diversity
Apprentice Program (DAP). We know that racially diverse talent and leadership are vastly underrepresented in the
travel and hospitality industry. DAP provides a paid, on-the-job experience for people who identify as BIPOC
(Black, Indigenous, Person of Color) to work in the travel industry. Upon successful completion of the six-month
commitment, CRAA will offer our apprentice a full-time position.

We are excited to welcome Efua Amissah-Aggrey, who is part of the first class of the DAP and was selected to be
an apprentice at CRAA. Efua joined CRAA earlier this month and is now part of our customer service team. Her
perspective and customer-centric focus is already adding value, and we look forward to having her grow with us.

Parking & Ground Transportation

Electric busses take a trip to City Hall
On October 6, CRAA joined the Central
Ohio Transit Authority (COTA) and
Columbus City Council President Shannon
Hardin to showcase the region’s first electric
transit vehicles to Columbus City leaders.

which opened September 1. COTA’s new
electric buses went into service on October
11. All three local TV stations provided
coverage of the event, highlighting CRAA’s
commitment to a cleaner, quieter, and more

Government Affairs

Bipartisan Infrastructure Framework in limbo
The fate of the bipartisan infrastructure bill is in limbo. Its fate turned hazy after Congress moved past several self-
imposed deadlines for this bill as well as the budget-reconciliation measure. While negotiations continue, we remain
hopeful that the proposed funding for airports including the first program dedicated to terminal projects gets
executed.

Operations & Asset Management

Auction contributes to CRAA’s bottom line
In an ongoing effort to be constant fiscal stewards of our resources, CRAA’s Fleet, Procurement, Accounting, and
Shipping & Receiving departments held an equipment auction. While the equipment was no longer of value for our
organization’s use, the sold items generated $107,000.

RESOLUTION 49-21

         A RESOLUTION OF THE COLUMBUS REGIONAL AIRPORT AUTHORITY AUTHORIZING THE “PICK-
         UP” OF THE STATUTORILY REQUIRED CONTRIBUTION TO THE OHIO PUBLIC EMPLOYEES
         RETIREMENT SYSTEM FOR THE EMPLOYEES OF THE COLUMBUS REGIONAL AIRPORT AUTHORITY
         PURSUANT TO INTERNAL REVENUE CODE SECTION 414(h)(2).

RESOLVED, To authorize the “pick-up” of the statutorily required contribution to the Ohio Public Employees Retirement System
(OPERS) for the employees of the Columbus Regional Airport Authority pursuant to Internal Revenue Code Section 414(h)(2).

WHEREAS, Pursuant to federal and Ohio laws, the federal and state income taxes on a portion of the wages or salaries of the
employees of the Columbus Regional Airport Authority (CRAA) will be deferred if CRAA “picks-up” (assumes and pays) the
contributions statutorily required by such covered employees to OPERS; and,

WHEREAS, CRAA will not incur any additional costs in the “picking-up” of such contributions.

WHEREAS, Effective October 26, 2021, the full amount of the statutorily required employee contributions to OPERS shall be
withheld from the gross pay of all persons employed by CRAA and shall be “picked-up” (assumed and paid to OPERS) by CRAA.
This “pick-up” by CRAA shall be designated as public employee contributions and shall be in lieu of contributions to OPERS by
all persons employed by CRAA. No person subject to this “pick-up” shall have the option of choosing to receive the statutorily
required contribution to OPERS directly instead of having it “picked-up” by CRAA or of being excluded from the “pick-up.” CRAA
shall, in reporting and making remittance to OPERS, report that the public employees’ contribution for each person subject to
this “pick-up” has been made as provided by the statute. Therefore, contributions, although designated as employee
contributions, are employer-paid, and employees do not have the option to receive the contributions directly. All contributions
are paid by the employer directly to the plan.

WHEREAS, The “pick-up” by CRAA provided by this resolution shall apply to all persons that are employees of CRAA who are
or become contributing members of OPERS.

WHEREAS, CRAA’s method of payment of salary to employees who are participants in OPERS is hereby modified as follows,
in order to provide for a salary reduction “pick-up” of employee contributions to OPERS.

RESOLUTION 49-21

WHEREAS, The total salary for each employee shall be the salary otherwise payable under CRAA policies. Such total salary of
each employee shall be payable by CRAA in two parts: (a) deferred salary and (b) cash salary. An employee’s deferred salary
shall be equal to that percentage of that employee’s total salary which is required from time to time by OPERS to be paid as an
employee contribution by that employee and shall be paid by CRA to OPERS on behalf of that employee as a “pick-up” and in
lieu of the OPERS employee contribution otherwise payable by that employee. An employee’s cash salary shall be equal to that
employee’s total salary less the amount of the “pick-up” for that employee, and shall be payable, subject to applicable payroll
deductions, to that employee. CRAA shall compute and remit its employer contributions to OPERS based upon an employee’s
total salary. The total combined expenditures of CRAA for such employees’ total salaries payable under applicable CRAA
policies and the pick-up provisions of this resolution shall not be greater than the amounts it would have paid for those items
had this provision not been in effect.

SECTION 5: CRAA staff are hereby authorized and directed to implement the provisions of this resolution to institute the “pick-
up” of the statutorily required contributions to OPERS for all persons employed by CRAA so as to enable them to obtain the
result in federal and state tax deferments.

Background: In prior resolutions involving OPERS CRAA re-authorized a Public Employee Retirement System Employee Pick-
Up Plan providing for CRAA to pick-up and assume the OPERS statutory employee share for the employees referenced above.
OPERS has requested CRAA to re-adopt its Pick-Up Plan to ensure CRAA is in compliance with Internal Revenue Service
Revenue Rulings 81-35, 81-36 and 2006-43.

OPERS has reviewed and approved the language in this resolution.

RESOLUTION 50-21

         A RESOLUTION OF THE COLUMBUS REGIONAL AIRPORT AUTHORITY AUTHORIZING THE
         PRESIDENT & CEO TO NEGOTIATE AND ENTER INTO AN AGREEMENT WITH CLEAR SECURE INC.
         TO OPERATE ENROLLMENT KIOSKS AND A BIOMETRIC REGISTERED TRAVELER IDENTITY
         SYSTEM FOR THE PURPOSE OF VERIFYING A PASSENGER’S IDENTITY PRIOR TO ENTERING THE
         TRANSPORTATION SECURITY ADMINISTRATION SCREENING LOCATIONS AT JOHN GLENN
         COLUMBUS INTERNATONAL AIRPORT.

RESOLVED, to authorize the Columbus Regional Airport Authority’s (CRAA’s) President & CEO to negotiate and enter into an
agreement with CLEAR Secure Inc. (CLEAR) to operate enrollment kiosks and a biometric registered traveler identity system
for the purpose of verifying a passenger’s identity prior to entering the Transportation Security Administration (TSA) screening
locations at John Glenn Columbus International Airport (CMH).

Background: Currently, passengers at CMH do not have access to a biometric-based system for identity verification prior to
entering the TSA screening locations at CMH. Having access to such a service would enhance the customer experience. CRAA
is currently in negotiations with CLEAR to install multiple verification kiosks (pods) and enrollment pods at or near each of the
three (3) security checkpoints at CMH.

CLEAR is located at 38 airports nationwide – including 90% of America’s busiest airports. CLEAR lanes enable access to
predictable and fast identity verification through dedicated entry lanes at airport security checkpoints for members of its CLEAR
Plus subscription service.

This resolution delegates authority to CRAA’s President & CEO to negotiate and enter into an agreement with CLEAR on terms
the President & CEO deems to be in CRAA’s best interests. The arrangement is expected to generate rental income for CRAA,
and implementation is anticipated to occur by the end of the year.

Due to the limited and/or specialty nature in scope of services an Airport Concessions Disadvantaged Business Enterprise
(ACDBE) goal has not been established, however, CRAA and CLEAR will work to identify future diversity opportunities.

RESOLUTION 51-21

         A RESOLUTION OF THE COLUMBUS REGIONAL AIRPORT AUTHORITY AUTHORIZING THE
         PRESIDENT & CEO TO AUTHORIZE THE GRANT OF A RIGHT TO ENTER PROPERTY OWNED BY THE
         COLUMBUS REGIONAL AIRPORT AUTHORITY TO CONSTRUCT A SANITARY SEWER UTILITY TO
         AIRPORT BUSINESS CENTER LLC AND FURTHER AUTHORIZING THE PRESIDENT & CEO TO
         NEGOTIATE AND ENTER INTO THE GRANT OF AN EASEMENT OF REAL PROPERTY FOR A
         SANITARY SEWER UTILITY EASEMENT AT JOHN GLENN COLUMBUS INTERNATIONAL AIRPORT.

RESOLVED, To authorize the President & CEO, or his designee, to authorize the grant of a Right to Enter property owned by
the Columbus Regional Airport Authority (CRAA) to Airport Business Center LLC for the construction of a sanitary sewer at John
Glenn Columbus International Airport.

RESOLVED FURTHER, To authorize the President & CEO, or his designee, to authorize the grant of an easement of real
property for a sanitary sewer utility easement at John Glenn Columbus International Airport.

Background: Airport Business Center LLC is constructing a building and related improvements on property fronting Johnstown
Road (“Project”) in the vicinity of John Glenn Columbus International Airport (“CMH”). The Project requires the installation of a
sanitary sewer (“sewer”) that will tie into the City of Columbus’ (the “City”) sanitary sewer system. The City has identified the
nearest tie-in to the City’s sanitary sewer system as located on land owned by CRAA at CMH. Airport Business Center LLC will
reimburse CRAA for a right to enter to construct the sanitary sewer across CRAA land in a total amount of approximately
$15,469.56. The valuation of the property is based upon current prices in the area. Additionally, CRAA will grant an easement
of real property across area. The easement will consist of a net take area of 0.84079 acres. The easement will run across Tax
Parcels 010-146768, 010-146785, 010-146796, 010-146763, 010-146769 and 010-146797 on the south side of Johnstown Road
and across Tax Parcels 190-001638, 190-001637, 190-001636, 190-001635, 190-000402, 190-000374, 190-000268, 190-
001238, and 190-000783 on the north side of Johnstown Road. With the exception of Tax Parcels 190-001638, 190-001637,
190-001636, 190-001635 and 190-000402, these parcels are located in the Runway Protection Zone and cannot be developed
with occupied buildings.

CRAA staff recommends Board approval of resolution 51-21.
