There was a lot of activity on the private debt and direct lending front in this first part of 2019, but there
was a lack of large transactions on the primary market, while there were important transactions on the
secondary market for both performing and Utp loans. Mainly thanks to secondary operations, the total value
of the operations mapped by BeBeez Private Data was nevertheless important, given that we speak of 7,574
billion euro in 7 months, compared to a total of 10.8 billion euro in the whole 2018 (see here BeBeez's
Report on Private Debt and Direct lending 2018).
In total, in 2018 BeBeez Private Data had counted 125 different issues, 17 of which were larger than EUR
100 million, for a total of approximately EUR 7,9 billion. Then there were three medium-sized emissions
between 50 and 100 million for a total of 196 million and 105 emissions of less than 50 million, then those
most attributable to SMEs, the real minibond, for more than 645 million euros. The whole, therefore, for
8,783 billion euros of bond issues. To which were added the direct lending operations.
Between the beginning of January and the end of July 2019, however, on the private debt front, there were
only 4 large bond issues: the 470 million to support the buyout of DOC Generici, the 250 million by SGA,
the 120 million for the financing of a real estate development of the Gruppo Barletta and the 117.75 million
for the refinancing of the real estate development of the Le Corti di Bayres in Milan.
To this calculation must be added the types of two securitizations of loans to SMEs, one originating from
Banco delle tre Venezie and the other from Banca Valsabbina. Both senior tranches were listed on
ExtraMot Pro. It's been a long time since you've seen such an operation. The stated objective is to free up
regulatory capital and cash to conduct new financing. Let's hope it's the beginning of a virtuous trend.

obviously, the bank has avoided going to the market, given the known events that involved it, but has sought
an alternative method to obtain the same result and therefore has substantially signed a credit default swap
contract with Christofferson Robb & Company, to protect part of a portfolio of receivables from SMEs
from 3 billion euros. This operation, however, being a synthetic one, has not been counted in the total
calculation of the approximately 1.96 billion of emissions above 100 million.
For the rest, emissions between 50 and 100 million were completely absent, while the smallest emissions
were 79 million.
Among these, ten are issues that have been securitized into a single larger €50 million issue, called Export
Basket Bond, before a series and part of a €50 million program dedicated to companies belonging to the
Elite community of Borsa Italiana, who want to finance investments for their internationalization (see
BeBeez's article). While in three other cases basket bonds were built without the use of a spv of
securitization: simply a single entity has subscribed to a series of similar bonds issued by a group of
companies in the same sector or geographical area. In particular, the Trentino Basket Bond transaction has
already been concluded with the Trentino-Alto Adige Strategic Fund, which has subscribed to 9 issues of
companies in the region for a total of 10.2 million euros (see article by BeBeez), while those of the Veneto
Basket Bond (see article by BeBeez) and the Campania Basket Bond (see article by BeBeez) are being
structured.

distribution of industrial seals in elastomer for the seal of fluids, which acquired the Californian Microflex
Technologies, financing itself with a 50 mllion euros bond signed by Pricoa Capital (Prudential group) (see
another article by BeBeez). Pricoa has also signed an agreement for the establishment of a so-called $125
million Shelf Facility, through which Bonfiglioli, a group that designs and implements solutions

companies In terms of direct lending, then, the activity has recorded important numbers: at least 624 million
euros (from 753 million in the whole of 2018) from fintech platforms, where in the calculation
have been considered for defects the numbers of Workinvoice and PrestaCap. In the first case
because they have not been made available, while in the second case because the transfer of control of the
platform to DepoBank is in progress (see another article by BeBeez) and therefore official numbers are not
available. BeBeez then just took the data of the 2018 disbursement of the two platforms and calculated the
seven twelfths, without therefore taking into account the physiological increase in activity.
The pure direct lending, which does not come from fintech, at the moment in Italy is very under track, since
in the vast majority of cases the funds, if they do not underwrite bonds, prefer to create so-called "fronting"
operations with the banks or, in any case, do not communicate the operations.

direct lending sector. That said, just one single public direct lending operation brought up the statistics of
Italian private debt in the broad sense in the first part of this year, because AnaCap, with its Credit
Opportunities Fund IV, bought a portfolio of 4 billion euros of performing loans to Italian SMEs from a
large bank. Other important deals were closed on portfolios of impaired shipping loans from the funds
Pillarstone and Dea Capital CCR II, respectively on portfolios of 350 and 200 million dollars.
Finally, on the regulatory front, there is an important novelty that will impact the SME debt sector, because it
opens up the possibility for equity crowdfunding platforms to host minibond placement campaigns.
Paragraph 236 of Article 1 of the 2019 Budget Law has in fact modified the definition of "portal for raising
capital for small and medium-sized enterprises and social enterprises" in the Finance Consolidation Act to
also include online portals that host collection campaigns through bonds or debt financial instruments by
small and medium-sized enterprises. Paragraph 238, however, provides that the subscription of bonds or debt
securities is reserved to professional investors and particular categories of investors identified by Consob and
is carried out in a section of the portal other than that in which the collection of risk capital takes place. In
fact, Consob has published for consultation a document indicating a series of hypotheses regarding potential
investors in bonds on the platforms. The consultation now ended on 20 July and an update of the Consob
Regulation is expected in the autumn (see another BeBeez article).
