Norra Metals - EMX Royalty Deal
        Two Countries, Four Properties, One Deal
   • Norra to issue EMX common shares equivalent to 9.9% Equity ownership in Norra at
     signing. Norra has continued obligation to EMX to issue additional shares of Norra to
     EMX to maintain a 9.9% equity position until Norra has raised CDN $5.0 million;
     thereafter EMX will have the opportunity to participate pro-rata in any other financings
     in order to maintain its 9.9% equity interest.
   • Norra will issue a 1% NSR to EMX on our 100% owned Pyramid Au-Cu porphyry project
   • Annual Advance Royalty payments commencing year two. $20K per project per year,
     increasing $5,000 annually. Option to forego payments of 2/4 projects for years three
     and four. After payment reaches CDN$60,000, payments will be adjust each year
     according to a pricing index agreed to by both parties.
   • EMX to retain 3% NSR on each project buyable down to 2% for CDN$2.5 million
     payment on or before the 6th anniversary.
   • Norra to offer a seat on newly restructured Company Board of Directors.

 -Mineralization discovered in 1914, exploration including drilling in 1941, development and test mining in 1947
 -Flotation facility completed in 1957 with initial reserves of 2.6Mt @2.4% Pb, 4.2% Zn, 0.22% Cu*
 -Open Pit Production and immediate inclined shaft, backfilling of tailings in the stopes
 -In late 80s economics looked bad and only higher Zn would have helped the economics. At the time Pb was
 priced two times the Zn price
 -In the early 90s the concentrator had twice the capacity as needed, room and pillar mining method was
 incorporated
 -In 1991, production was increased from
 250kt to 300kt a year
 -Exploration in the early 90s was
 concentrated on the other zones to the
 north
 -Mine flooded on Sept 26th 1997 with a
 reported three years of reserves still in the
 ground.

 -Trying to reactivate in 1998 but abandoned
 due to poor economics at that time

Geology and Mineralization
-In the Northern Norwegian
Caledonides: District discovered 1914
and remained a producing district
through late 1990’s. Within the
Rødingsfjellet Nappe Complex of
amphibolite grade, supracrustal rocks
(schists, carbonates, quartzites,
amphibolites). Clear zoning patterns
and hanging wall/footwall relationships
identifiable K-silicate alteration zones
and redox horizons analogous to
Zinkgruvan deposit in Sweden.

-Two main mineralized lenses 400 & 1500m strike length from 2-20 meters thick
-Operating mine flooded in Sept 1997- Norway’s last major metal producing mine.
-From 1957-97, produced: ~ 5Mt @4.0% Zn, 2% Pb, 0.15% Cu, and 25g/t Ag *

Geology
-VMS style mineralization focused along trend of Meraker Nappe, but is
also developed in other stratigraphic positions. Analogs with “Kuroko”-
style VMS systems (Cu-Zn-Au).
-Gold enrichment was not appreciated until mid-1990’s.
-Mineralization developed in felsic volcanic successions, with
subordinate mafic units; appears to be associated with rhyolite domes      Mannifjell
and volcanic centers.                                                      Cu-Zn- Au
-Thrusting of several seafloor horizons over each other. Forming a
sequence of stacked nappes.
-Subsequent folding and deformation has focused sulfide mineralization
into fold hinges where grades and tonnages are greater.
-Greenschist metamorphism has coarsened up sulfide mineral
assemblages, improving metallurgy.

        History and Deal
• Nearly 40 companies have conducted exploration work in the Kinskuch Lake claim (geological mapping,
  prospecting, sampling, drilling, etc.) since the early 1900s. Some of the senior mining companies (or their
  subsidiaries) that have conducted recent exploration in the area:

• Only 13 holes have been drilled (2,140m) in the past 14 years
• NorraMetal has the right to earn a 100% interest in the project subject to a 1% mineral royalty . To earn
  our interest, the Company must make the payments totaling $1,725,000 and incur exploration
  expenditures totalling $1,650,000 by 2021:
      • pay $100,000 in 2019 and have incurred $350,000 in exploration expenditures by late 2019;
      • pay $170,000 in 2020 and have incurred $850,000 in exploration expenditures by late 2020,
      • pay $270,000 in 2021 and have incurred $1,650,000 in exploration expenditures by late 2021,
      • pay $1,000,000 by late 2022.
      • To date OK2 has spent approximately ~$350,000 in exploration expenditures and paid $155,000
