Proposal For Governance Consulting Services
BK Consult is pleased to submit to the City of Placerville, Mayor and City Council a proposed
scope of work to facilitate three effective governance sessions from April 2021 through
December 2021. This proposal includes an optional fourth session (2022) to distribute, analyze
and discuss results from a customized governance self – assessment tool.

Proposed Outcomes
The challenge to all boards is their ability to govern their organization in a cohesive and effective
manner. The key to that effectiveness is the ability of the council to always maintain a common
purpose in support of a common vision for the organization, in this case Placerville City Council,
that rises above the individual differences of each city council member. This common vision
represents a powerful positive core of the council and serves to unify the council so that it can
work together as an effective governance team. This unity of purpose is the glue that holds the
council together. There are specific governance tools that have proven to be effective with
elected as well as non-profit and corporate boards.

These sessions are based upon a well-developed, effective governance system, which serves as
the basis, for the governance training. The framework has four basic components or dimensions.
They are:
    1. Creating and sustaining a strong unified purpose that serves as a structure for the
        Council’s governance responsibilities.
    2. Understanding and working within the agreed upon roles and responsibilities of the
        Council and the City Manager.
    3. Developing and maintaining a positive governance culture.
    4. Adopting clear, straightforward “ground rules” or protocols for how the Council and the
        City Manager will govern the City of Placerville.

The proposed outcomes from these sessions will be a Placerville City Council Governance
Handbook and an effective governance assessment tool customized for the Placerville City
Council.

Qualifications

Overview of the Consulting Team
The BK Consult team for this project will be Babs Kavanaugh project manager with assistance
from Davis Campbell. Kavanaugh and Campbell often collaborate to provide governance
consulting services to agencies and organizations from the non-profit, educational, government
and foundation sectors.

Babs Kavanaugh is experienced in providing meeting facilitation, effective governance
training, organizational development and strategic planning within the educational and health
care communities and with organizations and groups in the public and private sector.
Babs has over thirty years experience in business and brings a diverse management
background to her work. Her professional experience includes governance consultant/trainer,
human resource director, marketing director, community health center executive director, and
small business owner.
Babs maintained a staff position with the California School Boards Association (CSBA) as a
governance consultant from 1999-2012, while continuing with her consulting practice. As
staff with CSBA, Babs worked with over 350 school districts in California in assisting school
district governance teams in strengthening their leadership skills, improving their
organizational effectiveness and keeping district efforts focused on learning and achievement
for all students.
Davis Campbell, who retired as Executive Director of the California School Boards Association
in 2001 after serving for fourteen years, is very active in all levels of education and is a specialist
in governance. Prior to his position as CSBA Executive Director, he served as Executive
Director of the California Institute for School Improvement (5 years) and as California Deputy
State Superintendent of Public Instruction (6 years).

He maintains an active consulting practice in effective governance at both the state and
international level. Davis currently serves as a Trustee on the Stuart Foundation Board of
Trustees, a foundation serving the states of California and Washington and was a founding Board
member of the statewide Cities, Counties, Schools Partnership (California School Boards
Association, League of California Cities and California State Association of Counties). He also
presented twice on effective governance at the League of California Cities Mayors and Council
Members conference in Monterey. Campbell worked closely with the California Special
Districts Association creating the CSDA Governance Academy. Most recently he worked with
the California Joint Powers Association developing a governance program and presented at the
Annual Conference in 2018 and 2019. In his home community of Davis California, he served as
an elected Trustee of the Yolo County Board of Education. He currently is chair of the Board of
Advisors for the University of California School of Education, and a member of the University
of California Davis Foundation Board of Trustees, the University of California Arboretum
Planning Council, the Sutter Davis Hospital Foundation Board.

Campbell is the author with Michael Fullan, a world renown expert on systems development, of
The Governance Core, a Corwin Publishers best seller on effective governance in education. He
and Babs Kavanaugh are co-authors of the newly released Taking Action Guide for the
Governance Core.

Proposed Planning Approach
In order to achieve the outcomes for the project, the Consultants will work closely with the City
Manager to design the sessions to be relevant and customized to the specific needs of the
Council. Consensus decision-making will be the building block of this collaborative work.

Proposed Cost Estimate
BK Consult anticipates three sessions of 4-6 hours each with an optional fourth session focused on
governance assessment. Each session includes all pre workshop preparation, training materials,
documentation of the sessions and any follow up needed between sessions.
