• When you purchase qualifying crop protection products through FBN DirectSM before February 28, 2021, you’re
protected if the price drops before you take delivery
• FBN will credit you the difference on price guaranteed products.

The Price Guarantee program applies to the following products sold through FBN Direct:

• Qualifying products:
• Only Willowood USA or Generic Crop Science branded or other non-branded/generic products qualify
• Products from the following manufacturers do not qualify: ABM, Amvac, Amvac Chemical Corporation,
Arysta/Arysta LifeScience, BASF (including BASF Ag Products and BASF Corporation), Bayer CropScience/
Bayer Environmental Science, Cheminova, Dow/Dow AgroScience, DuPont/DuPont Crop Protection, FMC/
FMC Corporation, Gowan, Monsanto (including Monsanto BioAg and Monsanto Company), PBI/Gordon,
Syngenta Crop Protection, Valent U.S.A. Corporation Agricultural Products, and Winfield Solutions.
• While Price Guarantee credits are only issued on purchases through 2/28/2021, credits are valid to be used on
purchases made by 8/31/2021.
FULFILLMENT
• Qualifying purchases made by 2/28/2021 will be identified as Price Guaranteed purchases.
• On a monthly basis, the FBN Direct team will identify which accounts are due to receive a Price Guarantee credit
and issue the credits. Upon issue, the credits are available to be used immediately and will automatically be
applied to the member’s next transaction.
• Price Guarantee credits have no cash value.
• Price Guarantee credits expire at the end of Program Year 2021 (8/31/2021) and must be used on a purchase to
be delivered by the end of Program Year 2021.

GENERAL REQUIREMENTS
• Planting records must show that seed was planted in a particular field between the initial and final planting
dates used by the USDA Risk Management Agency for Multiple Peril Crop Insurance purposes
• Field must be affected by conditions requiring replant of seed
• All claims for replant of seed originally planted spring 2021 must be submitted by June 30, 2021
• Replant claims require approval by an FBN Seed District Sales Manager
• Replant claims relating to seed treatment claims are excluded
• All issues arising from the seed treatment are subject to the terms of the FBN Limitation of Warranty and Remedy
• Replant seed is subject to availability while supplies last; no substitutions
• Member is responsible for the cost to transport all seed product to be used for replant purposes from the
applicable FBN location and must pay FBN for all expenses relating to its delivery

PROGRAM TERMS
• The following offer applies to any seed or crop protection purchases during the program period.
Offer Requirement
Farmer must reject products at time of delivery so they can be returned to FBN
100% Sales Guarantee
in original, undamaged condition.
GENERAL SALES GUARANTEE QUALIFICATIONS
• If FBN cannot deliver an order within 3 days of the requested/scheduled delivery window, the farmer can either
choose to reschedule to a later date, or can elect to receive a refund for 100% of the value of their original order
• A farmer may also be eligible for a full refund if a product was not formulated according to the label or the
product was physically damaged during the shipping process
• If products arrive visibly damaged or with the product label removed, missing or illegible, buyer must
immediately reject products and not accept delivery
• If the delivered product is damaged, the buyer must indicate the damage on the delivery receipt and contact
FBN within twenty-four (24) hours for correction so the product(s) can be returned to FBN in original condition
• For seed orders, seed bags must remain unopened/unbroken and seed boxes must remain sealed
FULFILLMENT
• FBN member must reject product shipment at time of delivery
• FBN member must notify FBN Sales Representative, Customer Support Representative, or other FBN personnel
of shipment rejection and invoke the 100% Sales Guarantee no later than at the time of product delivery.

PRODUCT SWAP QUALIFICATIONS
• FBN member must notify FBN of a product swap at least 14 days before the “No Earlier Than” delivery date
• A revised Sales Order and a new Sales Order must be signed at least 14 days prior to the Delivery Date
• New products being requested by the FBN member must be of equal or greater value (using current price of
newly-requested products) than the originally-purchased products.
PRODUCT EXCHANGE QUALIFICATIONS
• FBN member must request a product return within 60 days of delivery
• New products being requested by the farmer must be of equal or greater value (using current price of
newly-requested products) than the originally-purchased products
• FBN member is responsible for a $150 shipping and handling fee to return products to FBN
• Exchanged products must be exchanged in whole quantities, and must be the same products (as determined
by product lot number) that were originally purchased
• If a Buyer makes an exchange for products of less value than the original purchase, the balance will be issued
as FBN Direct credit
• Products must be in original, undamaged condition
• Any seed that is open, seal broken or has damage to the packaging will not be accepted for
exchanges or returns
• For seed exchanges only:
• Member may not exchange soybean products
• Member must initiate request and complete return shipment by June 30, 2021
• For crop protection exchanges only:
• Member must initiate and complete return and exchange of products by September 30, 2021
• FBN member may exchange products one time per Sales Order
• Any new Sales Order for product exchanges will need to be paid using the same payment method. For
example, if the original Sales Order is Cash Up Front, a new Sales order for product exchange must also be
paid Cash Up Front
• FBN reserves the right to refuse exchanges on special order products2021 SWAPS, EXCHANGES, AND RETURNS POLICY

• FBN member must request a product return within 60 days of delivery
• For seed returns only:
• Member may not return soybean products
• Member must initiate request and complete the return of products by June 30, 2021
• For crop protection returns only:
• Member must initiate request and complete the return of products by September 30, 2021
• Product returns are subject to an 8% restocking fee, which will be calculated based on the original purchase
value of the returned products; Member will be refunded the remaining value of the returned product
• Returned products must be returned in whole quantities, and must be the same products
(as determined by product lot number) that were originally purchased
• Products must be in original, undamaged condition; any seed that is open, seal broken or has damage to the
packaging, will not be accepted for exchange or return
• FBN member may only return products one-time per Sales Order
• FBN reserves the right to refuse returns on special order products
• FBN member is responsible for a $150 shipping and handling fee to return products to FBN
FULFILLMENT
• Member should initiate a swap, exchange, or return request with their FBN Sales Representative, Support
Representative, or other FBN personnel, as appropriate

PROGRAM TERMS
• The following Cancellation offer applies to any seed or crop protection purchases within the program period.
Offer Requirement
Order Cancellation Policy Member can cancel an order before the scheduled shipment date.
GENERAL ORDER CANCELLATION QUALIFICATIONS
• Member must notify FBN of a request to cancel an order at least 14 days before the schedule “No Earlier
Than” shipment date.
• A member cancelling an order will incur an 8% cancellation fee
• Where a member has made payment, the remainder (92%) will be refunded to the member within 14 days of
confirmation of cancellation and confirmation of customer request from the customer service team.
• Where a member has not made payment, the cancellation fee is due and will be collected at the
time of cancellation.
FULFILLMENT
• Member must notify FBN Sales Representative, Customer Support Representative, or other FBN personnel in
writing of order cancellation at least 14 days before the scheduled delivery date
