STER: ADVERTISING AT THE PUBLIC BROADCASTER 2019 offer ‣ 2

2019 OFFER - reclame - purchase options television/radio/online

Ster reaches everybody and at any time of day, yet with a slightly different approach: ‣ ‣ We do not interrupt programmes with ads ‣ ‣ The number of advertising minutes at public channels is considerably less than for commercial organisations; this increases impact ‣ ‣ A relatively high number of people who watch little television is reached through public channels ‣ ‣ The contents of programmes and commerce are strictly separated.

Product placement or the joint development of a programme format are not included in the options We have adjusted our policy since 2018: we apply fixed and affordable prices for everybody. This helps you to know where you stand beforehand and enables us to deal with the essential part: how can we make the best possible use of Ster’s offer to achieve your object(ives)?

QUALITY AND REACH The qualitative programs of the public broadcaster are widely viewed and listened to, they attract a broad as well as a small audience and receive high ratings. And high ratings work. Research shows that the higher the rating for a programme, the higher the impact of a commercial. THE POWER OF ADVERTISING We believe in the power of advertising. A good commercial message around the right programming will reach the person you have in mind and achieves the desired result. We know this because we have decades of unique research into advertising effects and the viewing and listening behaviour of Dutch people.

This is how Ster boosts each campaign with insights, knowledge, quality and reach.

Ster has organised advertising for the public broadcaster (NPO) on TV, radio and online since 1965. 2019 offer ‣ 3

THE PUBLIC BROADCASTER CONNECTS The use of media will be changing in 2019. Increasingly more people are watching on demand and joint viewing and listening moments are becoming scarcer. At the same time, joint experience becomes increasingly important and the NPO continues to be a connecting factor. With programmes such as De Wereld Draait Door, De Top 2000 and Heel Holland Bakt. And also with news and current affairs and ‘we discuss it at the coffee machine’ programmes such as Boer zoekt Vrouw, De Luizenmoeder, Who is de Mol? and great (sports) events and festivals. NPO and Ster adapt and continue to be a stable, affordable and reliable partner.

We like to help every type of advertiser to utilise media to the greatest extent. SERVICE COMES FIRST RESEARCH You obviously will want to know the effect of your commercial on TV, radio and online and what it could be. AdMeasure tests the effectiveness of your commercial.

What is the strength of your commercial and what improvements could be made? Our latest addition is AdScan: a free commercial appreciation tool that combines historical panel data, computer vision and smart algorithms through machine learning. CUSTOMER PORTAL From broadcast timetable to campaign overview, from invoices to the direct Request of campaigns; our customer portal offers the full package. You will have real-time insight into your campaigns and you can chat live with us. STER LOCAL Ster Local is a unique tool that allows local entrepreneurs to create their own advertising video and to place them regionally around the qualitative online programmes of the NPO.

ARTICLE 2 MULTIMEDIAL VOLUME DISCOUNT Section1 Under the terms adopted in this article 2, the Contracting Party may claim a Multimedial Volume Discount on the Net Standard Price.

The following incremental discount applies: Volume incremental discount 1 Broadcasting/showing value from € 0 to € 500,000 ex VAT: 0% discount Volume incremental discount 2 Broadcasting/showing value from € 500,000 to € 1,000,000 ex VAT: 7% discount Volume incremental discount 3 Broadcasting/showing value € 1,000,000 or more ex VAT: 10% discount Section 2 If the Broadcasting/showing value in a current calendar month exceeds the lower limit of a volume incremental discount from Section 1, the Contracting Party shall have a right to the Multimedial Volume Discount that belongs to such volume incremental discount from the first day of the next calendar month up to and including the last calendar month of the current calendar year.

This volume discount is deducted from the Rates by Ster. The Multimedial Volume Discount applies per calendar year; the Contracting Party cannot derive any rights from or claim a Multimedial Volume Discount based on the Broadcasting/Showing Value from an already completed calendar year. Section 3 Ster’s administration is the guiding principle for the calculation of the Broadcasting/Showing Value per Advertiser.

Section 4 The Multimedial Volume Discount will be cancelled if the Contracting Party has failed to pay amounts due to Ster within the payment term specified in Article 12 Section 1 of the General Terms and Conditions. In a calendar year, the Contracting Party can once again claim the Multimedial Volume Discount from the first day of the next calendar month if no invoices are still outstanding of which the payment term has expired and the Contracting Party has also otherwise fulfilled the provisions of this article 2. Section 5 The Multimedial Volume Discount does not apply to the purchase of Advertising Space via Programmatic.

Section 6 The Broadcasting/Showing Value is a value that is calculated per Advertiser. When calculating the Broadcasting/Showing value, it is therefore not possible to add the amounts paid by and due to the Ster for the Commercials effectively Broadcast/Shown in a calendar year of various Advertisers, with the exception of the provisions in Section 7. Section 7 In the calculation of the Broadcasting/Showing value, Ster also considers the direct group relations of the Advertiser as Advertiser. Ster considers a group to be an economic unit as referred to in Book 2, article 24b of the Dutch Civil Code.

At Ster’s first request, the Advertiser will demonstrate to Ster’s satisfaction that a group relationship exists and provide an indication of the group companies that belong to the group. Section 8 If the Contracting Party is a Firm that acts in its own name on behalf of the Advertiser, the Contracting Party guarantees that it will provide the Advertiser access to the Agreement(s) and that it will exercise full transparency with regard to the Multimedial 2019 offer ‣ 32

Volume Discount in relation to the Advertiser. At the request of the Advertiser, Ster may at any time provide access to or provide a copy of the Agreement(s) relating to Advertiser’s Commercials. Ster can furthermore supply the Advertiser with information about the amount of the Multimedial Volume Discount provided to the Contracting Party. ARTICLE 3 SALE/RESERVATION OF ADVERTISING SPACE AND BENEFIT SCHEME FOR EARLY REQUEST Section 1 In the sale/reservation of Advertising Space in Advertising Blocks (on radio and television), purchase options included in the Purchase Brochure that provide for the specific purchase of Advertising Space are in principle given priority over the general Purchase options in the Purchase Brochure.

Ster applies an Initial Request Form for the submission of Requests per Broadcasting Cycle. Early Requests get priority over Requests within the same purchase option that was received by Ster after the Initial Request Letter. Early Requests with the same purchase option are treated mutually equally and do not have priority in respect of each other. If insufficient Advertising Space is available, Ster will consult with the competing applicants in order to arrive at a solution that is acceptable to all parties. If such consultation does not lead to agreement, Ster will determine by lot, if so desired in the presence of the competing applicants, which party the Request will be honoured.

Section 2 With the sale/reservation by Ster of Advertising Space on the Ster Network, Direct Deals have priority over Programmatic. With Direct Deals, the order of entry of the Requests per Broadcasting Cycle is in principle decisive for the order in which the Advertising Space is sold. Section 3 Ster reserves the right to set further priority rules at its own discretion or to deviate from stipulated rules. ARTICLE 4 MARKET INDICES AND BENEFIT SCHEMES ON EARLY REQUEST Section 1 On the day following the Initial Request Deadline per Broadcasting Cycle and per medium type, a Market Index for the Broadcasting/Display of Commercials is determined by Ster.

For the purchase options Zapp(elin) for television mentioned in the Purchase Brochure, a separate Market Index is determined on the day after the Initial Request Deadline. The Market indices have a bandwidth of 90 to 110 and are applied to the net (basic) prices as stated in the Purchase Brochure.

Section 2 A Market Index of a maximum of 100 applies to an Early Request. This means that when the Market Indices are determined after the Initial Request Deadline on a value lower than 100, this lower Market Index will be applied to the Early Request, however, that when a Market Index is determined higher than 100, a Market Index of 100 is applied to the Early Request. Section 3 If the Contracting Party, after the Initial Request Period, shifts more than 25% of 2019 offer ‣ 33

the total net value of its Requests for the Temporary Employment Cycle from the period up to and including the Initial Request Deadline to outside the relevant Broadcasting Cycle, the rights referred to in Section 2 to a Market Index of a maximum of 100 for the shifted part of the Requests above the stated percentage of 25%, shall be cancelled.

The aforementioned total net value is determined on the basis of Market index 100. Article 13 (2) of the General Terms and Conditions remains fully effective in addition to the regulation in this section 3.

Section 4 The provisions of Article 4 section 2 shall apply mutatis mutandis to the Advertising Space for a Campaign (main order) additionally requested after the Initial Request Deadline for the Broadcasting Cycle, up to a maximum of 25% of the total net value of the value of the Advertising Space requested for such Campaign before the Initial Application Deadline. The Market Index established after the Initial Request Deadline applies to Advertisement Space additionally requested after the Initial Request Deadline for a Campaign that exceeds the above percentage. The aforementioned total net value is determined on the basis of Market Index 100.

Section 5 This benefit scheme in the Early Request does not apply to Programmatic and to the Purchase options Stopper and Custom Stopper as stated in the Purchase Brochure. The Market Index for the Stopper and Custom Stopper purchase options is set at 100 and this Market Index is not adjusted. ARTICLE 5 JOINT ADVERTISING Section 1 The purchase/reservation of Advertising space for Joint Advertising is only permitted after written permission from Ster. The Request must clearly state it is related to Joint Advertising.

Section 2 At the same time as the Request, the Contracting Party must supply a storyboard or the Commercial.

The Request must clearly state who is the main and who is the subordinate Advertiser. In doing so, the extent to which both Advertisers are present in the Commercial and the branding (look and feel) of the Commercial must be allowed for. In case of doubt or disagreement about the question as to whether the Commercial concerns Joint Advertising or which party is the main or the subordinate Advertiser, Ster will make a binding decision on this matter.

Section 3 Joint Advertising Commercials are only placed under the Agreement of the main Advertiser. Section 4 In the pursuit of branch exclusivity as referred to in Article 17 of the General Terms and Conditions (on which Ster does not provide any guarantee), Ster will consider the branch of the main Advertiser as leading in Joint Advertising. Section 5 When a retailer advertises with its product range, this is not considered as Joint Advertising. It must in that case be clear that the retailer is the Advertiser, which means that the retailer (or a Contracting Party acting on behalf of the retailer) makes the Request and the Commercial clearly has the corporate identity of the retailer.

The Commercial 2019 offer ‣ 34

concerns Joint Advertising if: ‣ ‣ The logo of a party from the product range is prominently displayed (which is the case when the logo is displayed for more than 3 seconds or is shown full-screen); ‣ ‣ The Commercial contains both a logo and a spoken text from a party in the product range; ‣ ‣ The corporate identity of a party from the product range (in image or sound) in the Commercial is prominent. Section 6 If a Contracting Party conducts a Joint Advertising campaign with an organisation that competes for Ster or the national public media services (such as a Commercial one) radio/television channel or internet site), the following additional conditions apply: ‣ ‣ No cable/air frequency or internet address is stated, mentioned and/or displayed; ‣ ‣ The logo and/or the name of the competing organisation may be visible in the bottom left or bottom right up to 3 seconds and may not cover more than 5% of the total image.

ARTICLE 6 SHARED REVENUE Where the case arises, Ster may conclude a shared revenue agreement with the Advertiser for the sale of Advertising Space and the Broadcasting/Display of Commercials. The Advertiser must contact Ster for the terms and conditions. TERMS OF SALE FOR TELEVISION GENERAL PROVISIONS ARTICLE 7 PURCHASE OPTION FOR DISSEMINATION Section 1 The Contracting Party can only make use of the purchase option Dissemination if (i) the Minimum term of a Campaign is two calendar weeks and (ii) the Commercial(s) for such Campaign can be broadcast for at least five (5) days per week. This means that the Contracting Party can exclude a maximum of two (2) days per week if he wishes to make use of the Purchase option Dissemination.

Section 2 If the Contracting Party makes a Request with a purchase option Dissemination from the Purchase Brochure, Ster will make an effort to realise Dissemination of the GRPs per week. We do not focus on Dissemination per day. Section 3 When the Contracting Party agrees to changes to the Campaign three (3) workdays or less before commencement of the Campaign or during the Campaign with Ster, Ster’s effort obligation on Dissemination is cancelled. ARTICLE 8 ACCOUNT PER GRP; OVER AND UNDER SCORES Section 1 The GRP settlement is based on the viewing figures of Stichting KijkOnderzoek (SKO).

The GRPs realised on the basis of the Agreement are determined by Ster on the basis of the realised average viewing volume of the Advertising Block in which the Broadcasting/Showing of the Advertiser’s Commercial took place, as measured by SKO 2019 offer ‣ 35

(measurement including delayed viewing up to and including six days after the linear Broadcast). Subsection 2 At the end of a Broadcasting Cycle (calendar month), all Over- and Underscores of the various agreed purchase options (partial orders) per Campaign (main order) of the Contracting Party in the relevant Broadcasting Cycle will be offset against each other. If after this settlement there is an Overscore, Ster will not charge such Overscore to the Contracting Party. Section 3 Notwithstanding the provisions of Section 2, Over- or Underscores of the purchase option Your Time Roadblock will not be offset against the Over- or Underscore of other purchase options per Campaign.

The purchase option Your Time Roadblock will be charged to the Contracting Party on the basis of actually realised GRPs. This means that any Overscore, in derogation from the provisions of Section 2, will be charged to the Contracting Party.

Section 4 In case of a Campaign that exceeds the Broadcasting Cycle and if it does not meet the conditions in the Purchase Brochure with regard to the minimum number of Campaign days and GRPs for each Broadcasting Cycle which includes the Campaign, Ster applies a method of settlement different from Section 2. In that case no settlement of Over- and Underscores per Broadcasting Cycle (part of the Campaign) will take place, however, the Over- and Underscores of the agreed purchase options for the entire relevant Campaign will be settled, regardless of the Broadcasting Cycle in which they are included.

Section 5 If the Contracting Party notifies Ster of its wish to deploy two Campaigns (main orders) within one (1) Broadcasting Cycle, it is at Ster’s discretion of Ster whether there are actually two Campaigns or whether it is in fact the same brand/product/service of an Advertiser and therefore one Campaign.

ARTICLE 9 CLASSIFICATION OF TEMPORARY SCHEDULES Section 1 Broadcast schedules are determined by Ster at their own discretion and can change during the Broadcasting Cycle. Commercials are classified by Ster in accordance with the Conditions in Advertising Blocks, unless the Contracting Party uses the purchase options Your Time, Kids Your Time and Fixed Costs per Spot, in which Contracting Party himself has influence on the scheduling of the Commercial. For the latter purchase options, Ster Broadcasts/Shows the Commercials in the Advertising Block requested by the Contracting Party in accordance with the Conditions.

Section 2 A specific position within a certain Advertising Block can only be requested by the Contracting Party via the purchase options Your Time Preference Position, Kids Your Time (Food) Preferred Position and/or Fixed Costs per Spot. If the Contracting Party applies for Advertising Space via these Purchase options, Ster will Broadcast/Show the Commercial in accordance with the Conditions for the specific position requested by the Contracting Party. 2019 offer ‣ 36

The Contracting Party must respond to such request from Ster no later than three (3) working days before the first Broadcast/Showing to which Ster’s request relates. If Ster offers the Contracting Party the aforementioned choice of three working days or less for the first Broadcast/Showing to which Ster’s request relates, Ster will set a reasonable period within which the Contracting Party must respond.

If a response from the Contracting Party fails to comply within the applicable period specified above, Ster is entitled to decide not to broadcast the Commercial in one or more of the Advertising Blocks requested by the Contracting Party (to be designated by Ster), without being obliged to pay any damage arising from this decision for the Contracting Party. ‣ ‣ The Your Time Hotspot option can only be purchased before the Initial Request Deadline.
