                                ADDENDUM No. 1
                     ISSUE DATE: September 30, 2020

Responding Offerors on this project are hereby notified that this Addendum shall be made a part
of the above named IFB document.

The following items add to, modify, and/or clarify the IFB documents and shall have the full force
and effect of the original Documents. This Addendum shall be acknowledged by the Offeror in
the IFB document.
ADDENDUM No. 1 Invitation for Bid No. 2021-021 Non-Medical Cloth Face Masks - Union County
Delete/Add Section

    1. Delete the word (signed) from Bid Submittal Package, Page 5, 1. Appendix A – Price Form. A
       signature is no longer required. It should read as follows:

    2. Delete Scope of Work, 2nd Paragraph, Page 7 as follows:

        “The County estimates purchasing 300,000 face masks annually. The initial purchase will be for
        94,000 white face masks, which must be received by Union County no later than seven (7) days
        after order placement. Any additional face masks, must be received by the County within two (2)
        weeks of order date.”

        Add Scope of Work, 2nd Paragraph, Page 7 as follows:

        The County estimates purchasing 300,000 face masks annually. The County does not guarantee
        a minimum number of masks for purchase. Face masks must be received by the County within two
        (2) weeks of order date.

    3. Delete Appendix A – Price Form

        Add Attachment 1, Appendix A – Price Form (This price form must be submitted with bid.)

    4. Add to Evaluation of Bids and Award Procedures, Page 9, the following:
        7.5 COST ADJUSTMENTS
        The cost for all items as quoted herein shall remain firm for the contract period specified/awarded.
        Costs for subsequent periods and any renewal term periods shall be subject to an adjustment only
        if increases occur in the industry. However, unless very unusual and significant changes have
        occurred in the industry, such increases shall not exceed 5% per year or, whichever is less, in the
        latest yearly percentage increase in the All Urban Consumers Price Index (CPI-U) (South Region),
        Other Goods and Services, with the Index period of 2020-2024 as published by the Bureau of Labor
        Statistics, U.S. Department of Labor. The yearly increase, or decrease in the CPI shall be that latest
        index published and available ninety (90) days prior to the end of the contract year then in effect
        compared to the index for the same month one year prior. Any requested cost increase shall be
        fully documented and submitted to Union County Emergency Management Representative at least
        ninety (90) days prior to the contract anniversary date. Any approved cost adjustments shall
        become effective upon the anniversary date of the contract. In the event the CPI or industry costs
        decline, the County shall receive, from the Contractor, a reasonable reduction in costs that reflect
        such cost changes in the industry. The County may, after examination, refuse to accept the
        adjusted costs if they are not properly documented, increases are considered to be excessive, or
        decreases are considered to be insufficient. In the event the County does not wish to accept the
        adjusted costs and the matter cannot be resolved to the satisfaction of the County, the contract will
        not be renewed and the County will rebid the contract. Any contract extension is subject to the
        continuation of usage and the appropriation of funds.

5. Add to Scope of Work the following:

        a.   The Bidder will enter the manufacturer for proposed item on the price form.
        b.   Bidders are required to submit product specifications for each item requested in the IFB.
        c.   Product literature should be limited to technical data/specification documents.

Question/Answer Section

    1. For ITB #2021-021, do the adult face masks in Part A NEED to be white? Could I submit a bid for
       Part A/B with only black masks?

        Answer: For the purposes of this solicitation, both white and black masks will be required.

    2. We have in stock the Black face mask and it exceeds the specification in the bid. (attachment)
       however we only carry the black (white is a disaster). Would you still be interested in “Company”
       quoting you on the black only. In addition we would be open to negating a fair price with you as we
       have an overstock on this item.

        Answer: Please see answer No. 1. The County is not accepting quotes at this time.

    3. I saw the bid for North Carolina and I just wanted to know what was the quality they are looking for
       and how can I summit a bid?

        Answer: The bid submittal information and quality requirement can be found in the bid documents.
        The documents can be downloaded at the following websites:

    4. Delivery on this quantity would be four weeks. Is that acceptable?

        Answer: Please see Delete/Add Section, No. 2.

    5. We offer a non-cotton mask that has multiple benefits beyond what is typically found in most masks
       being offered in marketplace. Are you open to considering that?

        Answer: No. The County’s specification for face masks is as described in the bid document.

    6. We are a private company and do not disclose our financials, so providing 5 year of audited financial
       statements is not possible. We are, 14 years old and have extensive list of customers.

        Answer: Please refer to 8.3 Financial Information, Page 10: “The Bidder must have the following
        financial information readily available and have the ability to provide it to the County, without
        exception, within twenty-four (24) hours upon request during the proposal certification process. . .”

7. Our “Company” rep contacted me and said you are looking for a quote on masks?

        Answer: We will accept bids for this solicitation as described in the bid document.

    8. Is there any special consideration given to Made in the USA manufacturers?

        Answer: This is an open solicitation.

    9. In reference to Part A – is it necessary that the masks be White? Our masks are an off-white/
       natural color.

        Answer: The masks must be offered in white and black.

    10. We can get Mask, but with all vendors, we cannot provide 94,000 at once, Mask are a hot item and
        none of our vendors have this many in stock. We could possibly do 5,000 per week. Would this
        work for you?

        Answer: Please see Delete/Add Section, No. 2. Part A, 94,000 masks has been removed from this
        solicitation.

    11. I sent Union County an Adult Mask, White Sample previously, do you still need a sample with the
        bid?

        Answer: Yes, one (1) adult size mask is required to be submitted with bid.

    12. The delivery guarantee with an executive signature is a hard one. I have spoken to the mask
        manufacture and they feel pretty good on delivering part A in 7 days but things can always go
        wrong. Is there any give here?

        Answer: Please see Add/Delete Section, No. 2.

    13. Also for Part B we could stock based on Union County Estimates perhaps 10% of those quantities
        and then potentially deliver the balance in 2 weeks, a guarantee is hard to make though. Is there
        any give here?

        Answer: Please see delivery dates in Add/Delete Section, No. 2.

    14. I know this bid is looking for 3-ply, 100% cotton face masks but would you consider these that are
        made by “Company Name” right here in North Carolina?

        Answer: Please see answer to Question No. 5.

    15. ONE YEAR contract with (2) additional one year terms. There is nothing stated about if we would
        be able to raise prices and in fact it states “on the same terms and conditions as the initial
        term”. Prices may go up, can you give detail that we can do that after one year if needed?

16. How long does it take from the award date to get through all the approval and getting a purchase
        order?

        Answer: There is no set time.

    17. We are a certified minority and small business located in California.
          a. Will North Carolina recognize our status?

                Answer: Yes

            b. Does SME or DBE companies get some priority preference?

                Answer: Please refer to 8.14 Minority and Small Business Participation Plan, Page 12 of
                the RFP for the County’s policy.

    18. Do in state companies get preference over out of state companies?

        Answer: No

    19. IFB line 6.3 states color is white and black. How many of the 94,000 should be white vs black?

        Answer: Please see Delete/Add Section, No. 2 and Attachment No. 1. Part A, 94,000 masks are
        removed from the solicitation.
    20. IFB line 6.4 states we only need to send one adult size mask for sample. Do you require sample
        for kid size as well?

        Answer: No

    21. For product delivery, can we stagger the delivery to 20,000 units for the first week, and then the
        rest over the next 3 weeks or does the complete 94,000 units need to be delivered all at once?

        Answer: Please see Delete/Add Section, No. 2 and Attachment No. 1. Part A, 94,000 masks are
        removed from the solicitation.
    22. Will a blended cloth material with antibacterial elements be accepted or does the face mask have
        to be 100% cotton?

        Answer: Please see answer to Question No. 5.

    23. I am reaching out in response to IFB No. 2021-021 Non-Medical Cloth Face Masks and see "The
        public bid opening will be conducted outdoors, in the front entrance area of the Union County
        Government Center at the specified bid date and time. Late bids will not be accepted. If you plan
        to attend the bid opening, social distancing rules apply. "Does this mean the vendor must be
        present to bid or are mail in bids sufficient?

        Answer: Mail in bids are accepted. You do not need to be present at the public bid opening. Please
        refer to 3.2 Bid Delivery Requirements.

    24. I have a question on the following item?

No more than one (1) bid from any Bidder will be considered by the County. In the event multiple
        bids are submitted in violation of this provision, the County will have the right to determine which
        bid will be considered, or at its sole option, reject all such multiple bids.
        Can I submit two quotes (Part A and Part B) or just one which includes both parts with price?

        Answer: Please see Delete/Add Section, No. 2 and Attachment No. 1. Part A, 94,000 masks are
        removed from the solicitation.

                             IFB 2021-021 Non-Medical Cloth Face Masks

    Complete this price form for the purchase of Non-Medical Cloth Face Masks as described in the
    Scope of Work and Specifications sections of this solicitation. Any deviation from specifications
    must be clearly indicated. Cost must include all manufacture charges, including delivery (if
    applicable). Delivery must be made Monday – Friday between the hours of 8:00 AM and 5:00 PM
    unless otherwise specified. Bids shall not be considered unless submitted on this document.

    Total annual estimated quantities is 300,000. Union County does not guarantee a minimum
    number of masks for purchase. Upon order placement, receipt of goods must be within
    two (2) weeks. Submit one (1) sample adult face mask in accordance with description
    below.
