Introduction
The Charleston County Park and Recreation Commission (CCPRC) is requesting proposals from
qualified vendors to provide and operate Bulk Ice Vending Machine Services in accordance with
this Request for Proposal (RFP).
CCPRC currently seeks to enter into a lease agreement with an experienced Bulk Ice Vending
Machine Vendor (Vendor) for the right and privilege to provide convenient, user friendly and
well-maintained Bulk Ice Vending Machine Services (services) at designated boat landings in
Charleston County. The Vendor shall provide, maintain, manage and support all aspects of the
machines and this service in accordance with the RFP.
This RFP may result in one or more contract agreements between CCPRC and Vendor(s) to
provide Services at any single location or multiple locations. Vendor cannot assign or sublease
this service.

Upon review and evaluation of the proposals submitted, it is the intent of CCPRC to enter into a
lease agreement for a period of five (5) years in accordance with the terms and conditions
outlined in this RFP, CCPRC’s Procurement Policy and contract documents. Vendor may apply
for an extension of one additional five (5) year term subject to the approval of CCPRC and shall
be at CCPRC’s sole discretion. Vendor shall apply for extension no later than one hundred
twenty (120) days prior to the end of the lease agreement term then in effect.
All prices, terms and conditions shall remain firm for the initial period of the lease and for any
renewal period, unless price or fee adjustment is requested, justified and accepted by CCPRC.

Background
The Charleston County Park & Recreation Commission operates over 11,000 acres of property,
including regional parks, beach parks, a historic plantation site, fishing piers, waterparks, a skate
park, boat landings, a climbing wall, a challenge course, an interpretive center, an equestrian
center, cottages, a campground, a marina, and event facilities. We also offer a variety of
recreational services – festivals, camps, classes, programs, and more. Additional information

CCPRC operates and maintains 19 boat landings through a leaseholder agreement with
Charleston County government as the landowner. These boat landings range from large, paved
parking lots with fishing docks, floating docks and multiple boat ramps in well populated areas
to small, unpaved parking lots with single ramps in rural and outlying parts of Charleston
County. These boat landings are unstaffed and available for use 24 hours a day. While some of
the boat landings have bench seating and a few picnic tables, there are no other site amenities
such as trash cans, restrooms or running water.
As bulk ice machines become more prevalent, CCPRC recognizes having on-site ice machines
will provide a convenience to boaters and fisherman and may reduce the need to make an
additional stop just to purchase ice. This will also be an amenity to boaters/fishermen already on
the water who need additional ice while underway.

Service Locations
With steady to heavy use throughout the year Folly Beach, John P. Limehouse, Remley’s
Point, Wappoo Cut and W.O. Thomas are preferred locations for this service.
The selected Vendor(s) shall propose specific placement for ice machine and any peripheral
equipment through an on-site meeting with CCPRC prior to performing any site work. Vendor
shall consider access to utilities, necessary site work and site limitations when considering and
prior to proposing locations.
CCPRC will not allow the placement of ice machines to create a hazard, hinder access or reduce
parking. CCPRC has final approval on location and reserves the right to not select a Vendor or
invalidate the contract if a suitable location cannot be agreed upon.
Pre-Proposal Meeting/Site Visits: Vendors are encouraged to visit the boat landings prior to
submitting a proposal. A non-mandatory, pre-proposal meeting will be held 2:00 p.m. October
13, 2021 at the Wappoo Cut boat landing to review common site conditions and expectations.
A map of each location is included. See Attachment 3 – Boat Landing Map.

Scope of Service
CCPRC’s intent is to improve customer convenience by allowing on-site Bulk Ice Vending
Machine Services at designated boat landings.
CCPRC desires to:
   ❖ Select a Vendor with expertise in providing and operating Bulk Ice Vending Machines;
   ❖ Select a Vendor that has high quality machines that accept various forms of payment;
   ❖ Select a Vendor that will maintain machines in good condition and appearance and
     provide timely repairs;
   ❖ Select a Vendor that charges market value for product offered;
The Vendor shall:
    Site Preparation & Installation Requirements
   1. Propose specific placement for ice machine and any peripheral equipment through an on-
      site meeting with CCPRC prior to performing any site work. Vendor shall consider
      access to utilities, necessary site work and site limitations when considering and prior to
      proposing locations.
   2. Ensure ADA accessibility and not impede or hinder access, parking, or traffic flow;
   3. Bear all costs of installation of the ice vending machines and any protective barriers,
      along with all expenses incurred for site preparation and any damages to the ice vending
      machines. No Extra Charges shall be allowed;
   4. Comply with all municipal, state and federal permitting and building codes;
   5. Be solely responsible for obtaining all applicable permits and providing to CCPRC for
      review and acceptance prior to performing site work;
   6. Bear all costs and responsibility for providing utility service and connections, not
      limited to electrical and plumbing, to the site and establishing the required utility

accounts in Vendor’s business name/address and abide by the terms and conditions
   outlined in the Utility Service Agreements;
7. Provide adequate drainage that does not permit water to pool around the machine;
8. Be responsible for pre-cleaning, as necessary, any areas designated for installation;
9. Be responsible for any needed repairs caused by the installation of machines or any
   associated work;

Equipment & Maintenance Requirements

1. Furnish, install, stock and maintain “like-new” commercial grade, automatic ice vending
   equipment at the Vendor’s sole expense;
2. Ensure ice vending machines are:
       a. of an energy efficient design, have industry standard safety features, a positive vend
          sensor and UL listed;
       b. capable of accepting coins, bills and credit/debit cards;
       c. in “like-new” condition including a clean outward appearance;
       d. in compliance with all current ADA guidelines for use and access;
       e. equipped with counters for reporting sales;
       f. repaired within 24 hours of reported issues;
       g. in PCI compliance;
3. Be responsible for maintaining the machines and site in good and sanitary condition and
   appearance to include, but not limited to, the immediate removal of any debris, packaging
   cartons, trash, etc. resulting from the installation, operation or removal of equipment;

Management Requirements

1. Submit signage, decals, QR codes and other promotional material to CCPRC for
   approval. No roadside signage or additional 3rd party advertisements will be permitted;
2. Provide prompt, effective, and cordial customer service to include inquiries, complaints
   and refund requests;
3. Provide adequate supervision and oversight of its machines and operations including
   regular site visits for quality assurance purposes;
4. Schedule annual site visit with CCPRC’s representative(s) to review performance and
   goals;
5. Abide by applicable CCPRC policies and procedures while on-site;
6. Provide Attestation of Compliance and copies of insurance and any required licenses or
   permits to CCPRC annually;

Financial and Reporting Requirements

1. Provide a record/log of monthly inspections/cleanings and follow-ups of reported issues;
2. Report instances of vandalism or theft within 24 hours to CCPRC and local law
   enforcement;
3. Provide written Refund Policy including a label on the ice machine(s) with Vendor
   contact information including email address and phone number to report malfunctions or
   request refund;

4. Be financially responsible for obtaining and properly displaying all required insurance,
      permits, licenses and bonding and complying with pertinent regulations and municipal,
      state and federal laws. Further, the Vendor shall assume liability for all applicable taxes;
   5. Describe your method for collecting, reconciling and maintaining complete and accurate
      records of all monies generated from each vending operation;
   6. Provide to CCPRC, by the agreed upon dates:
          a. monthly base rent payments via check or ACH as shown in Part 1.
          b. a monthly financial report for each location detailing gross revenues and any net
              commission due to CCPRC, as shown in Part 2, following the month in which the
              revenue was realized.
          c. payments/compensation via check or ACH, that directly correspond to the
              revenue reported listed above, following the month in which the revenue was
              realized.
          d. a notarized annual report for each location detailing gross revenues and net
              commission due to CCPRC.
CCPRC shall
   1. Have final approval on location and reserves the right to not select a Vendor or invalidate
      the contract if a suitable location cannot be agreed upon;
   2. Have final approval authority on the suitability of any and all equipment as well as the
      appearance of the site;
   3. Not be responsible for any costs. This includes, but is not limited to, utilities,
      infrastructure and site improvements;
   4. Maintain the right to inspect ice vending machines on CCPRC/County property;
   5. Approve any plan for modification, physical improvements, signage or additional fixtures
      to the vending area that are desired by the Vendor prior to implementation;
   6. Not be responsible for any damages of theft, vandalism, power failure inclusive of
      hurricane, electrical storm or any act of God;
   7. Not be responsible for obtaining or displaying required insurance permits, licenses and
      bonding to comply with pertinent health regulations and municipal, state and federal
      laws;
   8. Reserve the right to audit machines or Vendor bank or tax records for verification of sales
      numbers for a period of up to 3 years after the conclusion of the service term.

Conclusion of Service Term
All Vendor property shall be removed from boat landings no more than twenty (20) business
days prior to, and no more than ten (10) business days after, the expiration of the Agreement.
All alterations, additions and improvements made upon the property, unless otherwise mutually
agreed upon, shall become and remain the property of CCPRC, or at option of CCPRC shall be
removed by Vendor at Vendor’s expense at the termination of this agreement.
Vendor shall restore the site to like or better condition as when service term started less the
removal or destruction of utility connections. Vendor shall terminate utility service and all
connections need to be left in a usable but secure state.

CCPRC may terminate this agreement immediately without prejudice to any right of action or
remedy, if the Vendor fails to:
   1. Make payments to CCPRC when payments are more than thirty (30) days overdue;
   2. Maintain proper sanitation;
   3. Provide proper maintenance of machines;
   4. Maintain and provide to CCPRC the required permits, licenses and other required
      documentation;
   5. In any other manner perform the requirements of the Contract Documents

Termination:

In the event of termination, the Vendor shall have ten (10) business days, after written
notification of termination of the Agreement has been served to the Vendor, to remove its
equipment. If Vendor fails, or refuses to remove equipment within the time specified herein, or
any proper extension thereof granted, then the Vendor does hereby agree, as part of the
consideration for the awarding of this Agreement, to pay CCPRC the sum of $100.00 per day
until all equipment is removed from the location(s).

In the event the property landowner, Charleston County government, decides to utilize the
property in another manner, CCPRC reserves the right to terminate this Agreement with thirty
(30) days’ notice.

Selection Process
The RFP will be available to any qualified company choosing to respond. CCPRC reserves the
right to waive any irregularities and to reject any or all proposals. CCPRC also reserves the right to
accept the proposal as a whole, or any items listed under the Scope of Services. No Proposal may
be withdrawn for a period of 60 days after date proposals are due. Listed below is the anticipated
schedule for the project:

        A.     Deadline for Questions                         October 18, 2021
        B.     Addendum Issued, if deemed necessary           October 20, 2021
        C.     Proposals Due                                 2:00PM, Tuesday November 2, 2021

Proposals shall be available for public inspection after the contract award; however, proprietary
or confidential information marked as such in each proposal shall not be disclosed without prior
written consent of the Vendor. It is the responsibility of the Proposer to identify any information
deemed proprietary or confidential. Upon submission, all proposals become the property of the
Commission and are subject to public record laws. It is the Proposer’s responsibility to notify
the Commission of any proprietary information listed in proposals submitted. If a proposal
contains proprietary information, the Proposer shall include a cover letter indicating such
information. In addition, any information in which the proposer considers proprietary
MUST be clearly marked “proprietary” next to the relevant part of the text in order for it
to be treated as such.

The successful vendor(s) shall be notified following CCPRC approval. Contract awards shall be
posted on CCPRC’s website.

In selection of the successful solution, CCPRC reserves the right to:
    1. Waive any irregularities and/or reject any and/or all proposals that do not adequately
        meet the desired quality, cannot meet the schedule, are not within CCPRC’s budget
        constraints or do not meet the requirements of this RFP;
    2. Accept the proposal as a whole or any items listed in the Proposal;
    3. Negotiate terms of the contract with the intended firm pursuant to Procurement Policy;
    4. Inspect the plant or place of business of a Vendor, contractor, or any subcontractor at
        reasonable time, which is related to the performance of any contract awarded or to be
        awarded by CCPRC as well as the books and records of such contractors and
        subcontractors in accordance with CCPRC’s Procurement Policy

Qualification and Evaluation of Proposals
Proposals will be evaluated on, but not limited to, criteria listed and requested as outlined in the
Request for Proposal and what is deemed most advantageous to the Commission and in accordance
with CCPRC’s Procurement Policy. Selected Vendor will have exclusive rights to the sale of
vended ice products at selected boat landings during the contract term.

This RFP may result in one or more contract agreements between CCPRC and one or more
Vendor(s) to provide Services at any single location or multiple locations.

Proposals will be evaluated and independently scored based upon, but not limited to, the following
factors, listed in order of importance: Factors 2- 4 are equal

       1)   Project Approach & Performance Differentiator’s
       2)   Financial Proposal
       3)   Past Performance
       4)   Capacity
       5)   Corporate Experience

CCPRC will determine the best value based upon these criteria and recommend the selection of
Vendor.
CCPRC may request additional information from one or more Vendors after the submission of the
initial proposals in order to clarify, confirm, or properly evaluate any proposal. Vendor may be
asked to provide an oral discussion of the proposal. This presentation shall be limited to the
subject matter part of the proposal response and shall be limited to a clarification, explanation, or
more extensive description of the proposal. Answers from the oral discussion may be reflected in
a revised score for the submitted proposal due to a better understanding of a specific proposal
evaluation item. There is no expressed or implied obligation for CCPRC to reimburse Vendor for
any expenses incurred in preparing the proposal and/or any subsequent interviews. CCPRC will
not be obligated for any services without a written executed contract by both parties.
Proposals for services shall include all charges including, but not limited to, deliveries, taxes, and
duties of any kind levied by federal, state, municipal, or other governmental authority which

either party is required to pay with respect to services covered under this agreement. There is no
expressed or implied obligation for CCPRC to reimburse responding Vendor for any expenses
incurred in preparing the proposals submitted for consideration.

Criteria for Selecting based on Qualifications

Each Vendor, by submitting proposals, represents that:
   1. The Vendor has read and understands this solicitation (including all Attachments) and
      that its offer is made in accordance therewith.
   2. The Vendor has reviewed the solicitation, has become familiar with the local conditions
      under which the product/service is to be provided, and has correlated personal
      observations with the requirements of the proposed Contract Documents.
   3. The Vendor is qualified to provide the product/services required under this solicitation
      and, if awarded the Contract, will do so in a professional, timely manner using successful
      Vendor’s skill and attention.

Basis of Award
The award determination shall be based on the technical factors and financial proposal.
Following the deadline for submittal of proposals, a selection committee will review, analyze,
and rank all submittals based on their response to the information requested. If desired, the
selection committee may short list the number of qualified Vendors. CCPRC reserves the
discretion to determine the number of Vendors that will be on the short list. CCPRC reserves the
right to reject any or all submittals and to waive defects, technicalities, and/or irregularities in
any submittal. CCPRC reserves the right to finalize a contract based on all factors involved in
the written qualification submittal without further discussion or interview.

Basis of Evaluation for each Factor
Technical and Financial Factors:
Factor 1- Project Approach and Performance Differentiators
Basis of Evaluation: The Vendor may be rated higher during evaluations if their proposal
exceeds the following items:
   •   Capability to provide equipment and services
   •   Quality, functionality and size of specified equipment
   •   Compliance meeting all requirements outlined in the Scope of Work Section of the RFP

Factor and Solicitation Submittal Requirements:
   1. Submit illustrated brochures including pictures and specifications of proposed equipment
   2. Describe your method for collecting, reconciling and maintaining complete and accurate
       records of all monies generated from each vending operation;
   3. Describe remittance options available and propose the process and method for
       disbursement of funds to CCPRC;

4. Describe financial reporting options available to CCPRC.

Factor 2- Financial Proposal
Basis of Evaluation: CCPRC will evaluate the Financial Proposal based upon information
provided
   •   Proposed Base Rent and Commission Rates in response to the RFP

Factor 3- Past Performance
Basis of Evaluation: The degree to which past performance evaluations and all other past
performance information reviewed (i.e., performance recognition documents and information
obtained for any other source) reflects a trend of satisfactory and/or an outstanding level of
performance.

Factors and Solicitation Submittal Requirements:

   1. Provide
         a. Vendor background and experience successfully operating and maintaining bulk
             ice vending machines
         b. References that meet the minimum requirements for responding to this RFP,
             including at least three (3) years of experience in operating and maintaining bulk
             ice vending machines
         c. Attachment 1g Certification/Qualification Reference

In addition to the above, CCPRC may review any other sources of evaluation information of past
performance. Other sources may include, but are not limited to, inquiries of Vendor
representative, and any other known sources not provided by the Vendor. While CCPRC may
elect to consider data from other sources, the burden of providing detailed, current, accurate, and
complete past performance information rests with the Vendor. Based on the trend and
satisfactory and/or outstanding ratings, performance may be rated higher.

Factor 4- Capacity
Basis of Evaluation: Vendor shall be evaluated to determine if their company has sufficient
support, staff, and resources to meet and satisfy demand with minimum downtime.

Factor and Solicitation Submittal Requirements:

   1. Detailed description of Vendor approach in providing bulk ice vending machine service
      at selected location.
   2. Provide schedule of preventative maintenance to be performed during term to minimize
      service disruptions and ensure good, sanitary and aesthetic conditions;

Factor 5 – Corporate Experience
Basis of Evaluation: The responding Vendor will be evaluated in order to determine if its
company has demonstrated the necessary corporate experience to meet CCPRC’s needs.

Factor and Solicitation Submittal Requirements:

   1. Proposals shall identify the qualified, knowledgeable contact person who will be the
      point person for the entire project. Proposals shall also provide a statement of the
      Vendor’s commitment that the identified individual(s) will be involved throughout the
      entire project and must address, at a minimum, the organizational strength and stability of
      the responding firm.
   2. Provide documentation of the Vendor’s capability and experience which includes:
          a. Demonstration of Vendor’s ability to provide the indicated services
          b. Description of previous work
          c. Responsiveness and compliance with the items listed in request for proposal

Submittals

All technical questions shall be submitted by email no later than 2:00 PM ET on October 18,
2021 to the attention of Ms. Lanna Wright CPPB, Procurement Coordinator, at
prcprocurement@ccprc.com.

An addendum, if deemed necessary, will be posted on the website, www.ccprc.com/bids.

Proposals will be ranked based on the information outlined in this RFP and on Financial
Proposal Form. The following must be completed in its entirety and submitted in order to be
considered for evaluation:

Submit Technical Factors in the following format as ONE FILE:
• Title Page:
  Title page showing the Request for Proposal subject; the Team name; the name, addresses,
  and telephone number of a contact person; and the date of the submittal.
• Table of Contents:
  Provide Table of Contents to aid the evaluation of the qualifications.
• Transmittal Letter:
  A signed letter of transmittal briefly states the Offeror's understanding of the work to be done,
  the commitment to perform the work, a statement why the Team believes it to be best
  qualified to perform the engagement, and a statement that the submittal is a Team and
  irrevocable offer for sixty (60) days.
• Detailed Submittal:
  The purpose of the detailed submittal is for the Offeror to demonstrate their qualifications,
  competence, and capacity to provide service to CCPRC in conformity with the requirements
  of this solicitation. Offeror shall submit a qualification for this project meeting the minimum
  requirements listed. Address each item listed in the Evaluation Criteria based on the ability of
  your Team as required. Offerors should address all the points outlined herein including

       1) Project Approach/ Performance Differentiators
       2) Financial Proposal
       3) Past Experience
       4) Capacity
       5) Corporate Experience

Addenda
Submitter acknowledges that it is the submitter’s responsibility to determine whether an
Addendum has been issued. If so, the submitter must obtain copies of such Addendum from the
Commission’s website and agrees to be bound by all Addenda that have been issued for this
Request for Proposal. If an addendum is issued, the submitter shall sign and return each
addendum with the proposal submitted.

How to Submit
Proposals must be submitted electronically following the instructions below:

   2. Complete the required fields on the form.
          a. Bid Number = 2022-007
   3. Click File Upload to attach your Technical Requirements with all required attachments
      (except the price proposal).
          a. Upload the proposal as one file.
                  i. The name of the file should include the vendor name and the Bid Name:
                      “2022-004: Bulk Ice Vending Machine Services
   4. Click the other File Upload to attach the Financial Proposal (Attachment #2)
          a. Upload the financial proposal as one file
                  i. The name of the file should include the vendor name, the bid number and
                      the title “Financial Proposal”

Proposals must be received no later than 2:00PM, ET Tuesday November 2, 2021 as time-
